Learning Management System (User Terms)

Please read these terms and conditions which govern the use of the One Million Prompters Learning Management System (the “LMS Platform”), accessible via the website omp.dub.ai (the “Website”) and the courses and other Services offered via the LMS Platform (the “Services”).


By accessing and using the Website, LMS Platform and the Services, You agree to be bound by these Terms and Conditions. (the “Terms”).


These Terms are entered into between and User of the Website, LMS Platform or Services (“User, You; Your”) and Dubai Future Foundation, a government entity established under Dubai Law No. 16 of 2016 and having its principal address at 5th Floor, Emirates Towers, Sheikh Zayed Road, P.O. Box 555509, Dubai, United Arab Emirates (DFF).


If You do not agree to these Terms, You must not continue to access or use the Website, LMS Platform or Services.


  1. SERVICES USAGE PROCEDURE

    1. In order to access and use the Services, You must create an individual User account (“User Account”) via the guided procedure set out on the Website.
    2. When You complete the registration via the Website You are:
      1. representing and warranting that You are the authorised User;
      2. agreeing to these Terms; and
      3. agreeing that DFF reserves the right to decline or cancel Your User Account and continued use of the Services at any time at its sole discretion.
    3. Following Your successful creation of a User Account, You will receive a confirmation email from DFF. You will then be able to access and use the Services.
    4. If You meet the attendance and response requirements of the Services, You will be eligible to receive a confirmation certificate from DFF (at its sole discretion).
    5. The Services are offered and available to Users who are 18 years of age or older. By creating a User Account, You represent and warrant that You are of legal age to form a binding agreement with DFF and accept these Terms. If You do not meet all these requirements, You must not create a User Account or use the Services.

  2. FEES

    1. The Services are provided free of cost.

  3. CHANGES TO SERVICES

    1. DFF reserves the right to make changes to the Services including any materials made available to Users in connection with the Services without notice.
    2. You may not transfer Your rights to access or use the Services or provide any Services materials to any other person.

  4. PARTICIPATION AND CONDUCT

    1. You represent and warrant that all information provided by You to DFF when creating a User Account and using the Services is true, accurate and complete.
    2. You undertake to:
      1. comply with all relevant legislation and applicable codes of practice or recommendations or any instructions issued by DFF from time to time;
      2. behave in a professional and respectful manner towards DFF, all employees and personnel of DFF and the Government of Dubai, and shall complycomply with the laws, culture, and ethical standards of the United Arab Emirates, including but not limited to cybercrime laws and anti-discrimination regulations;
      3. not knowingly or negligently take or do any action or permit any omission that would be detrimental to the reputation or goodwill associated with DFF or the Government of Dubai; and
      4. conduct Yourself in an open and collaborative manner consistent with the aims of the Services and share information, ideas and learnings with DFF in an open, public and transparent manner.
    3. You must:
      1. comply with all health and safety rules and regulations and any other reasonable security requirements that apply at the premises of DFF (if applicable); and
      2. not misuse, abuse or otherwise do any unauthorised act with respect to any materials, furnishings, equipment or hardware of DFF or at the premises of DFF (if applicable).

  5. CONFIDENTIAL INFORMATION

    1. You shall keep all information and materials relating to the Services and DFF, including all information and materials provided in connection with the Services (Confidential Information) strictly confidential and shall:
      1. not use the Confidential Information for any purpose other than for the purposes of the Services and these Terms;
      2. not disclose the Confidential Information to any third party or otherwise publish or make available to the public (including on social media platforms, blogs, vlogs and other means of self-publication) without the prior written consent of DFF; and
      3. protect and treat all Confidential Information with the same degree of care as it uses to protect its own confidential information and not less than reasonable care.
    2. All materials and information (in whatever form) provided by DFF to You in connection with the Services are the sole property of DFF and may not be copied, modified, assigned, distributed, shared or made available to any third parties.
    3. Notwithstanding clause 5(a)(ii), You are entitled to refer to the Services via Your personal social media account provided always that such reference shall in no way be disparaging or reduce or diminish the reputation, image and prestige of the Services, DFF or the Government of Dubai.
    4. You agree to participate in and co-operate with promotional activities relating to the Services that may be initiated and/or organised by DFF.
    5. DFF may acknowledge Your engagement and usage of the Services as appropriate without prior notice. The enrolment and/or participation by You in any part of the Services shall constitute as Your deemed consent and acceptance to DFF or its appointed representatives publishing details of the Services and photographs and video footage of You and making further press or other public announcements, or release in any form any marketing or other publicity or releases, whether in written or oral form, relating to the Services, DFF, You, results or data.
    6. This clause shall continue notwithstanding the end of the Services.

  6. INTELLECTUAL PROPERTY

    1. All intellectual property rights (including copyright and authors rights, database rights and rights in patents, designs, images, inventions, utility models, trade names, trademarks, service marks, trade dress or get-up, goodwill, domain names, know-how, trade secrets and all other intellectual property rights, registered or unregistered, anywhere in the world) (Intellectual Property Rights) in the material provided in connection with the Services or the Website remain the intellectual property of DFF or its licensors and shall be used strictly in accordance with DFF’s instructions.
    2. If any Intellectual Property Rights are:
      1. generated by You as a result or direct consequence of the Services; or
      2. developed by You through any learning materials, related processes or general innovation methods or techniques by means the Services, then You shall enter into a separate agreement with DFF and take all steps and sign all deeds and documents necessary to assign such Intellectual Property Rights to DFF or the Government of Dubai, or otherwise register such Intellectual Property Rights in the name of DFF or the Government of Dubai.
    3. Any materials provided to You by DFF for use in connection with the Services shall be for Your individual personal use only.
    4. You shall not:
      1. use, copy, modify, reproduce, redistribute, transmit, assign, sell, edit or otherwise transfer any Intellectual Property Rights of the Government of Dubai (including but not limited to the Intellectual Property Rights of DFF in the content provided as part of the Services or the Website) without the prior written consent of DFF (including, but not limited to, posting excerpts of the Services material on social media or blogging about the material);
      2. record on video or audiotape, relay by video calls, or take photos of materials in the Services, or record by any other means the Services materials provided;
      3. use the Service materials in the provision of any other training given by You or any third party; or
      4. do or permit anything which may adversely affect the Intellectual Property Rights of DFF or assist or allow others to do so.
    5. You may not to use any Intellectual Property Rights of the Government of Dubai (including but not limited to the Intellectual Property Rights of DFF) without DFF’s prior written consent.
    6. Breach by You of this clause 6 shall allow us to immediately terminate these Terms with You and immediately restrict You from accessing and using the Services.

  7. TERMINATION

    1. DFF may terminate these Terms and exclude You from attending accessing or using the Services or any other course or Services provided by DFF and/or the Government of Dubai with immediate effect if You:
      1. breach of these Terms;
      2. You are involved in any situation or activity which could expose the Services, DFF or the Government of Dubai to disrepute or reflects unfavourably on the Services, DFF or the Government of Dubai’s reputation; or
      3. You do not behave in a respectful and professional manner towards DFF, the Government of Dubai, any employees or personnel of DFF or the Government of Dubai.
    2. DFF shall not be liable for any direct or indirect losses, damages or costs You incur arising out of any such exclusion.

  8. LIABILITY

    1. While DFF aims to provide the Services to the highest standards of the industry, neither it, nor its speakers accept any liability for:
      1. any inaccuracy or misleading information provided in the Services materials and any reliance by You on any such information from the Services or the Website; and
      2. any indirect, special or consequential loss arising the use of information provided via the Services or the Website, or usage of the Services.
    2. If You are dissatisfied with any portion of the Services or the Website or with any of these Terms, Your sole and exclusive remedy is to discontinue using the Services.
    3. You shall indemnify, hold harmless, and, at DFF’s option, defend provider from and against any losses resulting from any third-party claim that User data, or any use of the User data in accordance with this agreement, infringes or misappropriates such third party’s intellectual property rights and any third-party claims based on User’s (i) negligence or willful misconduct; (ii) use of the Services in a manner not authorized by this agreement; (iii) use of the Services in combination with data, software, hardware, equipment or technology not provided by DFF or authorized by DFF in writing; or (iv) modifications to the Services not made by DFF, provided that User may not settle any third-party claim against DFF unless dff consents to such settlement, and further provided that DFF will have the right, at its option, to defend itself against any such third-party claim or to participate in the defence thereof by counsel of its own choice.

  9. NO WARRANTIES

    1. The information and materials provided in connection with the Services are for educational purposes only.
    2. To the fullest extent permissible under the law, DFF disclaims all warranties, express or limited, including implied warranties of the fitness of the information provided to any particular purpose.

  10. PRIVACY AND TERMS OF USE

    1. Your use of the Website is subject to DFF's Terms of Use (at https://www.dubaifuture.ae/terms-of-service) and Privacy Policy (at https://www.dubaifuture.ae/privacy-policy).
    2. Please review the Privacy Policy as it informs You of our data collection practices. By using this Website and using the Services, You consent to our collection and processing of Your personal data as outlined in the Privacy Policy.
    3. Notwithstanding anything to the contrary in this Agreement, DFF may monitor User’s use of the Services and collect and compile Aggregated Statistics (where "Aggregated Statistics" means data and information related to a User’s use of the Services that is used by DFF in an aggregate and anonymised manner, including to compile statistical and performance information related to the provision and operation of the Services) between DFF and the User and, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by DFF. The User acknowledges that DFF may compile Aggregated Statistics based on User Data input into the Services. The User agrees that DFF may (i) make Aggregated Statistics publicly available in compliance with applicable Law, and (ii) use Aggregated Statistics to the extent and in the manner permitted under applicable Law; provided that such Aggregated Statistics do not identify the User or the User’s Confidential Information.
    4. User has and will retain sole responsibility for: (i) all User Data (where "User Data" means, other than Aggregated Statistics, information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of the User in connection with the Services), including its content and use; (ii) all information, instructions and materials provided by or on behalf of a User in connection with the Services; (iii) the security and use of Access Credentials (where "Access Credentials" means any username, identification number, password, license or security key, security token, personal identification number (PIN) or other security code, method, technology or device used, alone or in combination, to verify a User’s identity and authorisation to access and use the Services) of the User; and (iv) all access to and use of the Services
    5. DFF will take reasonable precautions to maintain and back up User’s data on a periodic basis. However, DFF HAS NO OBLIGATION OR LIABILITY FOR ANY LOSS, ALTERATION, DESTRUCTION, DAMAGE, CORRUPTION OR RECOVERY OF USER DATA.
    6. Further, the User confirms:
      1. it will not upload any User Data, content or materials that are potentially fraudulent, deceitful, defamatory, obscene, violent, hateful, racially discriminatory, illegal or offensive and further agrees that any content uploaded by User is in their sole discretion and that DFF is not responsible for such content and cannot be held liable for same; and
      2. User will not enter any Personal Health Information ("PHI") into the LMS Platform. "PHI" refers to any individually identifiable information related to the past, present, or future physical or mental health or condition of an individual, the provision of healthcare to an individual, or the past, present, or future payment for the provision of healthcare to an individual. Any violation of this term may result in immediate termination of the User’s access to the Services.

  11. GENERAL

    1. Nothing in these Terms shall constitute or be deemed to constitute a relationship of an agency, partnership or joint venture between You and DFF.
    2. If any term of these Terms is or becomes illegal, invalid or unenforceable, that shall not affect the legality, validity or enforceability of any other term of these Terms.
    3. Any termination of Your participation in and/or any cancellation of the Services shall not affect any accrued rights or liabilities of DFF. Clauses ‎4, ‎5, ‎6, ‎7 and ‎11 shall remain in full force and effect notwithstanding any termination or expiry of these Terms.
    4. These Terms and the relationship between DFF and You shall be governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any dispute shall be referred to and finally resolved by the Dubai Courts (as established by Law No. (3) of 1992 and Law No. 13 of 2016) who shall have exclusive jurisdiction to settle the dispute. You hereby unconditionally and irrevocably renounce any right You may have to challenge in any other jurisdiction or arbitral system the decision of the Dubai Courts.
