Special Notice

TIMEACTOR, LLC (hereinafter referred to as "we") hereby reminds you (the user) to carefully read this User Agreement (hereinafter referred to as "Agreement") before registering as a user, to ensure that you fully understand all the terms herein. Please read carefully and choose to accept or not accept this Agreement. Unless you accept all the terms of this Agreement, you are not authorized to register, log in, or use the services covered by this Agreement. Your registration, login, and use will be deemed as acceptance of this Agreement and agreement to be bound by its terms.

This Agreement stipulates the rights and obligations between TIMEACTOR, LLC and the user regarding the "Timeactor" software service (hereinafter referred to as "Service"). "User" refers to individuals who register, log in, and use this Service. This Agreement may be updated by TIMEACTOR, LLC at any time. Once the updated terms are published, they will replace the original terms without further notice. Users can check the latest terms on this website. If you do not accept the modified terms after TIMEACTOR, LLC modifies the Agreement, please stop using the services provided by TIMEACTOR, LLC immediately. Continued use will be deemed as acceptance of the modified Agreement.

I. Account Registration

  1. Before using this Service, users need to register a "Timeactor" account. The account should be registered and bound with a mobile phone number that has not been previously bound to a Timeactor account and is not banned by TIMEACTOR, LLC according to this Agreement. TIMEACTOR, LLC may change the registration and binding method as needed without prior notice.
  2. Given the binding registration method, you agree that TIMEACTOR, LLC may use the phone number you provide and/or automatically extract your phone number and device identification code for registration.
  3. During registration and use, TIMEACTOR, LLC needs to collect personal information to identify users, contact users when necessary, or provide a better experience. The information collected includes but is not limited to name, gender, age, date of birth, ID number, address, school, company, industry, interests, frequently visited places, and personal description. TIMEACTOR, LLC agrees to use this information only as limited by Article III on privacy protection.

II. Service Content

  1. The specific content of the Service is provided by TIMEACTOR, LLC according to actual circumstances, including but not limited to allowing users to communicate, add friends, join groups, follow others, and post messages. TIMEACTOR, LLC may change the services provided at any time; users will be notified of such changes.
  2. The Service includes both free and paid services. Users may purchase paid services via App Store or other payment channels provided by Timeactor. For paid services, users will be clearly notified before use. Only after confirming and completing payment as prompted will users be able to use such services. Payment is considered complete when a "payment completed" confirmation is generated by the bank or third-party payment platform.

III. Protection of User Privacy Information

  1. During registration or use, users may need to fill in or submit necessary information as required by laws and regulations. If the information is incomplete or does not comply with laws and regulations, users may not be able to use the Service or may be restricted.
  2. Personal privacy information refers to information that identifies a user, such as real name, ID number, phone number, device ID, IP address, and chat records. Non-personal privacy information refers to operational status, usage habits, and other information not covered by privacy, as well as information the user agrees to disclose.
  3. Respecting user privacy is a fundamental policy of TIMEACTOR, LLC. We will take technical and other necessary measures to ensure the security of user privacy information and prevent leakage, damage, or loss. If such events occur or are likely to occur, remedial measures will be taken promptly.

  4. TIMEACTOR, LLC will not disclose user privacy information to any third party without user consent, except in the following cases:

    1. As required by laws, regulations, or authorities;
    2. Disclosure due to the user sharing their password or account with others, or for reasons not attributable to TIMEACTOR, LLC;
    3. User voluntarily discloses their privacy information to third parties;
    4. User and TIMEACTOR, LLC or partners have agreed to disclose such information;
    5. Disclosure due to hacking, viruses, or force majeure.

  5. Users agree that TIMEACTOR, LLC may use user privacy information for the following:

    1. Sending important notifications, such as software updates or changes to this Agreement;
    2. Internal audits, data analysis, and research to improve products, services, and communication;
    3. Managing and reviewing user information as per this Agreement;
    4. Other matters as required by law.

    Except as above, without prior consent, TIMEACTOR, LLC will not use user privacy information for other purposes.

  6. Users confirm that their location information is not personal privacy information. Successful registration is deemed as authorization for TIMEACTOR, LLC to extract, disclose, and use location information, which will be public to other users.
  7. To improve technology and services, TIMEACTOR, LLC may collect, use, or provide non-personal privacy information to third parties.

IV. Content Standards

  1. Content refers to any material created, uploaded, copied, published, or transmitted by users during use, including but not limited to profile photos, names, descriptions, text, voice, images, videos, and links.

  2. Users may not use the account or Service to create, upload, copy, publish, or transmit content prohibited by laws and regulations, including:

    1. Opposing the basic principles of the Constitution;
    2. Endangering national security, leaking state secrets, subverting state power, undermining unity;
    3. Damaging national honor and interests;
    4. Inciting ethnic hatred or discrimination, undermining unity;
    5. Undermining religious policy, promoting cults or superstition;
    6. Spreading rumors, disturbing social order, undermining stability;
    7. Spreading obscenity, pornography, gambling, violence, murder, terror, or abetting crime;
    8. Insulting or defaming others, infringing legal rights;
    9. Violating the "seven bottom lines" of law, socialism, national interest, citizens' rights, public order, morality, and information authenticity;
    10. Other content prohibited by laws and regulations.

  3. Users may not use the account or Service to create, upload, copy, publish, or transmit content that interferes with normal operation or infringes the rights of others, including:

    1. Sexual or suggestive content;
    2. Abusive, threatening, or intimidating content;
    3. Harassment, spam, malicious or deceptive information;
    4. Involving others' privacy or personal information;
    5. Infringing reputation, portrait, intellectual property, or trade secrets;
    6. Other content interfering with normal operation or infringing rights.

V. Rules of Use

  1. Any content transmitted or published by users does not reflect or represent the views, positions, or policies of TIMEACTOR, LLC, and TIMEACTOR, LLC assumes no responsibility.

  2. Users may not use the account or Service to:

    1. Submit or publish false information, impersonate others, or use others' profiles;
    2. Force or induce others to follow, click, or share information;
    3. Fabricate facts or conceal the truth to mislead or deceive;
    4. Create fake accounts in bulk using technical means;
    5. Engage in illegal or criminal activities;
    6. Create, publish, or operate methods or tools related to the above, whether for commercial purposes or not;
    7. Other acts violating laws, infringing rights, interfering with operation, or unauthorized by TIMEACTOR, LLC.
  3. Users are fully responsible for the authenticity, legality, harmlessness, accuracy, and validity of information transmitted via the account or Service. Any legal liability arising from such information is borne by the user. If damage is caused to TIMEACTOR, LLC or third parties, the user shall compensate accordingly.
  4. The Service may include advertisements. Users agree to the display of advertisements from TIMEACTOR, LLC and third parties. Except as required by law, users are responsible for transactions based on such ads, and TIMEACTOR, LLC is not liable for any loss or damage resulting from such transactions or content.

VI. Paid Content

  1. Users may purchase paid items and services via App Store or other channels provided by Timeactor.
  2. Users acknowledge that once purchased, paid items cannot be exchanged for legal currency except as required by law. Except as required by law, no refunds will be given after payment.
  3. Users may not trade virtual items with third parties outside TIMEACTOR, LLC. If violated, TIMEACTOR, LLC is not responsible for any loss, and may refuse payment or take action as per this Agreement if cheating or abnormal activity is suspected.
  4. Except as required by law or otherwise stated, purchased paid services cannot be refunded or exchanged for other services.

VII. Account Management

  1. All Timeactor accounts are owned by TIMEACTOR, LLC. After registration, users obtain the right to use the account, which belongs only to the initial registrant and may not be gifted, lent, rented, transferred, or sold. TIMEACTOR, LLC may reclaim accounts as needed.
  2. Users may change or delete personal information, but deleting information will also delete stored data. Users bear this risk.
  3. Users are responsible for keeping account information and passwords secure. Any consequences of poor management are borne by the user. Users must not use others' accounts or passwords. If misuse is suspected, notify TIMEACTOR, LLC immediately.
  4. Users must comply with this Agreement and use the Service properly. If violated, TIMEACTOR, LLC may suspend or terminate the account after notice, and reserves the right to reclaim accounts or usernames at any time.
  5. If a user does not log in for 180 days after registration, TIMEACTOR, LLC may reclaim the account after notice to avoid resource waste. Users bear any resulting consequences.

VIII. Data Storage

  1. TIMEACTOR, LLC is not responsible for deletion or storage failure of user data.
  2. TIMEACTOR, LLC may determine the maximum storage period and space for user data. Users may back up data as needed.
  3. If the user stops using the Service or the Service is terminated, TIMEACTOR, LLC may permanently delete user data from the server. After termination, TIMEACTOR, LLC is not obliged to return any data.

IX. Sharing and Responsibility

  1. Users understand and agree that Timeactor only provides a platform for sharing, transmitting, and obtaining information. Users are responsible for all actions under their account, including any content transmitted and resulting consequences. Users should judge content independently and bear all risks, including reliance on accuracy, completeness, or usefulness. TIMEACTOR, LLC is not responsible for any loss or damage caused by user actions.
  2. If users find any violation of this Agreement or improper use, please report to TIMEACTOR, LLC, which will handle it as per this Agreement.
  3. Users understand and agree that for business needs, TIMEACTOR, LLC reserves the right to change, suspend, terminate, or withdraw all or part of the Service unilaterally. Users bear this risk.

X. Intellectual Property Statement

  1. Except for advertisements, all content provided by TIMEACTOR, LLC (including but not limited to web pages, text, images, audio, video, graphics) is owned by TIMEACTOR, LLC, except for content for which users have obtained intellectual property rights before using the Service.
  2. Unless otherwise stated, the copyright, patent, and other intellectual property rights of the software relied upon for the Service belong to TIMEACTOR, LLC.
  3. Graphics, text, and other marks and product or service names involved in the Service (collectively "TIMEACTOR, LLC Marks") are owned by TIMEACTOR, LLC. Without prior written consent, users may not display, use, or otherwise handle the Marks, nor indicate any right to do so.
  4. All intellectual property rights owned by TIMEACTOR, LLC or advertisers are protected by law. Without written permission, users may not use or create derivative works in any form.

XI. Legal Liability

  1. If TIMEACTOR, LLC discovers or receives reports of violations, it may review, delete, or take action against the account, including warnings, bans, or function restrictions, and notify the user.
  2. TIMEACTOR, LLC may take legal action against violations and report to authorities as required. Users bear all resulting legal liability.
  3. If users violate this Agreement and cause any third-party claims, demands, or losses (including legal fees), users shall compensate TIMEACTOR, LLC and its affiliates and hold them harmless.

XII. Force Majeure and Other Disclaimers

  1. Users understand that during use, force majeure may cause service interruption. Force majeure includes but is not limited to natural disasters and social events. In such cases, TIMEACTOR, LLC will cooperate to repair promptly, but is not liable for losses caused thereby.
  2. Like most internet services, this Service may be affected by various security issues, such as misuse of user data, viruses, or hacking. Users should strengthen information security and password protection to avoid loss or harassment.
  3. This Service may be interrupted or fail to meet user requirements due to force majeure, viruses, hacking, system instability, location, shutdown, or other technical or network reasons. TIMEACTOR, LLC is not responsible for any resulting loss.
  4. During use, users may encounter misleading, deceptive, threatening, defamatory, offensive, or illegal information, or information infringing others' rights. TIMEACTOR, LLC is not responsible for any resulting loss.
  5. TIMEACTOR, LLC may regularly or irregularly maintain the platform or equipment. If service is interrupted for a reasonable time due to maintenance, TIMEACTOR, LLC is not liable but should notify users in advance.
  6. TIMEACTOR, LLC has the right but not the obligation to handle illegal or violating content. This does not constitute a commitment to timely discovery or handling.

  7. TIMEACTOR, LLC is not responsible for quality defects or losses caused by the following products or services:

    1. Free services provided to users;
    2. Any products or services given to users for free.
  8. In any case, TIMEACTOR, LLC is not liable for any indirect, consequential, punitive, incidental, special, or penal damages, including loss of profits, even if advised of the possibility. The total liability of TIMEACTOR, LLC, regardless of reason or form, shall not exceed the fees paid by the user for the Service (if any).

XIII. Changes, Suspension, and Termination of Service

  1. Given the particularity of network services, users agree that TIMEACTOR, LLC has the right to change, suspend, or terminate part or all of the Service (including paid services) at any time. TIMEACTOR, LLC should notify users in advance and provide equivalent alternative services to affected users.

  2. In the following cases, TIMEACTOR, LLC may change, suspend, or terminate free or paid services without liability:

    1. Users fail to provide true information as required by law, or information is inconsistent and not corrected;
    2. Users violate laws or this Agreement;
    3. As required by law or authorities;
    4. For security or other necessary reasons.

XIV. Other

  1. TIMEACTOR, LLC reminds users to pay attention to the clauses exempting TIMEACTOR, LLC from liability and limiting user rights. Please read carefully and consider the risks. Minors should read this Agreement with a legal guardian.
  2. The validity, interpretation, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China. Any disputes shall first be resolved amicably; if not, they shall be submitted to the court with jurisdiction over the domicile of TIMEACTOR, LLC.
  3. If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions remain valid and binding.

Additional Terms

  1. Third-Party Services Disclaimer: TIMEACTOR, LLC is not responsible for any loss or damage caused by interruptions or failures of third-party services (such as payment providers, cloud services, etc.).
  2. Intellectual Property Infringement Complaints: If you believe your intellectual property rights have been infringed by content on our platform, please contact us at [email protected]. We will review and handle your complaint promptly.
  3. Prohibited Behaviors: Users are strictly prohibited from engaging in fraudulent activities, malicious registration, automated operations (such as bots or scripts), or any actions that disrupt the normal operation of the platform.
  4. Account Termination: If your account is terminated, your data may be deleted and any remaining services or subscriptions may be forfeited without compensation. Please back up your data in advance if needed.
  5. Changes and Notification: We reserve the right to update or modify this Agreement at any time. Any changes will be posted on our website and will take effect immediately upon posting. For significant changes, we will notify users via email or a prominent notice on our website.
