These Terms of Use (the “Terms”) govern your access to and use of:

The Services are operated by InnMind Europe, S.L. (Spain) (“InnMind”, “we”, “us”, “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Definitions

  • “User” means any person or entity who creates an account or uses the Services.
  • “Visitor” means anyone browsing the Services without an account.
  • “Account” means your login credentials and associated settings.
  • “Profile” means a user-facing page you create on the platform (for example: Startup, Investor, Expert, Service Provider, or Corporation).
  • “Startup” means a founder, startup team, or project that creates a Startup Profile.
  • “Investor” means an individual or organization that creates an Investor Profile and uses the Services to discover or track startups and themes.
  • “Service Provider” means a third party offering tools or services to startups (for example: legal, marketing, infrastructure) that may be listed or referenced on the Services.
  • “Corporation” means a corporate or enterprise team using the Services for innovation, scouting, or ecosystem discovery.
  • “Content” means text, images, data, files, links, and other materials, including user-generated content.
  • “Digital Products” means downloadable or otherwise digital items sold or made available through the Services (for example: templates, databases, calculators, guides).
  • “Membership” means a subscription plan (free or paid) that grants access to certain features and/or Digital Products.
  • “Connection Request” means a request, message, or other interaction between Users through the Services.

3) Eligibility and accounts

  1. You must be able to form a binding contract and use the Services under applicable law.
  2. If you use the Services on behalf of a company, you confirm you have authority to bind that company.
  3. You are responsible for keeping your Account credentials secure and for all activity under your Account.
  4. You agree to provide accurate information and keep it up to date.

4) What InnMind is (and is not)

4.1 What the Services provide

InnMind is a software platform and content toolkit designed to help teams:

  • create and maintain Profiles;
  • discover and evaluate ecosystem participants (including startups and investors);
  • access libraries of Digital Products (templates, databases, calculators, guides);
  • use communication and workflow features (including Connection Requests) where available; and
  • optionally engage with fundraising-focused support services that may be offered by InnMind or partners.

Some Services may be described using common industry labels (for example, “community”, “network”, “hub”, “toolkit”). These labels describe product functionality and do not change the legal nature of the Services as a software and content offering.

4.2 What we are not

We are not:

  • a broker, dealer, investment adviser, financial intermediary, crowdfunding portal, or exchange;
  • a party to any investment agreement between Users; or
  • responsible for negotiations, term sheets, deals, introductions, or outcomes.

Any information on the Services is provided for general informational purposes only and does not constitute investment, legal, tax, or financial advice.

4.3 Advisory or professional services

If InnMind provides any advisory, consulting, or other professional services (“Advisory Services”), those services may be subject to separate terms, scope, and fees (for example, a statement of work or service agreement). Advisory Services do not include any promise or guarantee of funding, introductions, or results.

5) Memberships, purchases, and payments

5.1 Plans and access

  • The Services may include a free plan and one or more paid Membership plans.
  • Certain features and Digital Products may be available:
    • as part of a paid Membership, and/or
    • as standalone purchases.
  • Current plan details and pricing are shown on the Services (for example: https://app.innmind.com/pricing).

5.2 Billing, renewals, and taxes

  • If you purchase a paid Membership, you authorize us (and our payment processors) to charge your selected payment method for recurring fees until you cancel.
  • Prices may be shown monthly and billed monthly or annually depending on the plan you select.
  • You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction.

5.3 Changes to pricing or plans

We may change pricing, plan features, or availability from time to time. If a change affects an active paid Membership, we will provide reasonable notice where required by law.

5.4 Cancellation

  • You can cancel a paid Membership at any time through your account settings (if available) or by contacting support@innmind.com.
  • Cancellation stops future renewals. Unless otherwise stated on the Services, you will retain access until the end of the current paid period.

5.5 Refund policy

Because Memberships and Digital Products may provide immediate access to digital content and/or platform features, sales are generally final and non-refundable, to the maximum extent permitted by law.

If you are a consumer in the European Economic Area (EEA) or the United Kingdom, you may have a statutory right of withdrawal. Where applicable, you request immediate performance (access/delivery) and acknowledge that, once such performance begins, you may lose your right of withdrawal for that specific digital content/service, as permitted by law.

Nothing in these Terms limits any mandatory rights you may have under applicable consumer protection laws.

6) User content, profiles, and conduct

6.1 Your responsibility

You are responsible for all Content you upload, publish, or otherwise make available through the Services (including profile information and messages).

You represent and warrant that:

  • you have all rights needed to post the Content;
  • your Content is accurate to the best of your knowledge;
  • your Content does not violate applicable law or third-party rights.

6.2 Prohibited use

You agree not to:

  • post unlawful, deceptive, defamatory, harassing, or infringing Content;
  • scrape, crawl, or harvest data from the Services in a way that violates our robots.txt, technical protections, or applicable law;
  • use automated systems (bots) to access the Services in a way that harms performance, bypasses limits, or extracts restricted data;
  • attempt unauthorized access to any system, account, or data;
  • send spam or unsolicited messages;
  • interfere with security features or abuse reports.

6.3 Moderation and enforcement

We may remove Content, restrict visibility, suspend accounts, or terminate access if we believe (in our sole discretion) that Content or behavior violates these Terms, harms Users, or creates legal risk.

7) Community, introductions, and third-party interactions

  1. The Services may enable messaging, community spaces, introductions, or connections between Users.
  2. We do not guarantee responses, introductions, meetings, investment interest, partnerships, or outcomes.
  3. Any engagement between Users is solely between those Users. You are responsible for performing your own diligence before working with any third party.

8) Intellectual property

  1. The Services, including design, code, trademarks, and proprietary content, are owned by InnMind or its licensors.
  2. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services.
  3. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law or with our prior written consent.

9) Third-party services and links

The Services may contain links to third-party websites or integrate with third-party tools (e.g., payment processors, analytics). We do not control third-party services and are not responsible for their content or practices.

10) Privacy and data protection

Our processing of personal data is described in our Privacy Policy (https://innmind.com/privacy/), which forms part of these Terms. If you do not agree with the Privacy Policy, do not use the Services.

11) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that Content will be accurate or complete.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. INNMIND WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
  2. INNMIND’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO INNMIND FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13) Indemnification

You agree to defend, indemnify, and hold harmless InnMind from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:

  • your use of the Services;
  • your Content;
  • your breach of these Terms; or
  • your violation of applicable law or third-party rights.

14) Suspension and termination

We may suspend or terminate your access to the Services at any time if:

  • you violate these Terms;
  • your use creates risk to other Users or to InnMind;
  • we are required to do so by law.

You may stop using the Services at any time.

15) Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms on the Services and/or by other reasonable means.

Your continued use of the Services after changes become effective means you accept the updated Terms.

16) Governing law and jurisdiction

These Terms are governed by the laws of the Kingdom of Spain, without regard to conflict of laws rules.

Unless mandatory law requires otherwise, the courts of Barcelona, Spain will have exclusive jurisdiction over disputes arising from these Terms or the Services.

17) Miscellaneous

  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
  • Our failure to enforce any provision is not a waiver.
  • These Terms, together with the Privacy Policy and any referenced policies, form the entire agreement between you and InnMind regarding the Services.
