Linux proxy for Win32 machines

I just wanted to test the water with this one.
I have two boxes on a peer to peer Windows network, box 1 - Win2000 - modem connection / box 2 - Win98 - (should be using proxy for dial up connection)

TCP/IP protocol for some reason refuses to work on LAN, therefore no-dial up for the Win 98 box. I can put my hand on my heart and honestly say that I have tried everything, so now I'm officialy giving up. Well, not literally.
I had Red Hat5.2 previously installed on the Win2000 machine, trippling booting. In order to solve the dial up problem, I'm thinking about having a Linux box between the two Window$ boxes, acting as a proxy server for dail-up connections.

My questions are:-
1) Is this possible?
2) Do I have to run SAMBA or something similar?
3) Would I have to edit and configure lots of scripts?

Thanks for your help, I do hope this will be possible and Debain would be software of choice.
