Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website selektable.com (the “Website”), the Selektable merchant dashboard (the “Dashboard”), and the embeddable product visualization widget (the “Widget”) (collectively, the “Service”) operated by Selektable VOF (“Selektable”, “we”, “us”, or “our”), located at Hoedemakerplein 3, 7511 JR Enschede, the Netherlands.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Definitions

• “Merchant” — a business or individual that registers for a Selektable account to use the Dashboard and Widget on their online store.
• “End Customer” — a customer of a Merchant who interacts with the Widget on the Merchant’s store.
• “User Content” — any content uploaded to the Service, including photos, images, and product data.
• “Visualization” — the AI-generated result showing a product visualized on or in a user’s photo (virtual try-on or room visualization).

2. Eligibility

You must be at least 16 years old and capable of entering into a binding agreement to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Account Registration

Merchants must create an account to use the Dashboard and Widget. You agree to:

• Provide accurate and complete registration information.
• Keep your login credentials confidential.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of the Service

Selektable provides an AI-powered product visualization platform for e-commerce. The Service enables:

• Virtual try-on — End Customers can upload a photo and see clothing or accessories visualized on themselves.
• Room visualization — End Customers can upload a room photo and see furniture or decor placed in their space.
• Analytics and attribution — Merchants can track visualization usage and its impact on conversions.
• Multi-platform support — The Widget integrates with Shopify, WooCommerce, and custom e-commerce platforms.

5. User Content and Photos

5.1 Ownership

You retain ownership of all User Content you upload to the Service. Selektable does not claim ownership of your photos or Visualizations.

5.2 License Grant

By uploading User Content, you grant Selektable a limited, non-exclusive, worldwide license to process, store, and display your content solely for the purpose of providing the Service (e.g., generating Visualizations). This license terminates when your content is deleted.

5.3 Merchant Responsibilities

Merchants are responsible for:

• Ensuring that they have the right to use any product images uploaded to the Dashboard.
• Configuring appropriate photo retention periods (1–30 days) for their store.
• Obtaining End Customer consent if enabling the marketing use feature for Visualizations.
• Informing End Customers about data collection through the Widget, including by linking to their own privacy policy.

5.4 Prohibited Content

You may not upload content that:

• You do not have the right to use.
• Contains illegal, harmful, or offensive material.
• Infringes on any third party’s intellectual property or privacy rights.
• Contains malware or is designed to disrupt the Service.

We reserve the right to remove any content that violates these Terms without notice.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the Service, servers, or networks.
• Circumvent any access controls, rate limits, or security measures.
• Use the Service to build a competing product.
• Scrape, harvest, or collect data from the Service without authorization.
• Resell or redistribute the Service without our written consent.
• Use the Service to process content that violates applicable laws, including content depicting minors.

7. Payment and Billing

7.1 Subscription Plans

Merchants subscribe to paid plans as described on our pricing page. Prices are in euros (EUR) and exclude applicable taxes unless stated otherwise.

7.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). Payment is processed through our payment provider. You authorize us to charge your payment method for all fees incurred.

7.3 Cancellation

You may cancel your subscription at any time through the Dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

7.4 Price Changes

We may change our prices with at least 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

8.1 Our IP

The Service, including its software, design, branding, documentation, and AI models, is owned by Selektable and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.2 Feedback

If you provide feedback or suggestions about the Service, we may use them without obligation to you.

9. Availability and Support

• We aim to maintain high availability but do not guarantee uninterrupted access to the Service.
• We may perform maintenance that temporarily affects availability, with reasonable notice where possible.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Service will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy of AI-generated Visualizations.

Visualizations are AI-generated approximations. Actual products may differ in appearance from Visualizations. We do not guarantee that Visualizations will be accurate representations of products.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Selektable’s total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
• In no event shall Selektable be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.

These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

12. Indemnification

You agree to indemnify and hold harmless Selektable, its officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms.
• User Content you upload that infringes on third-party rights.
• Your violation of applicable laws or regulations.

13. Termination

13.1 By You

You may stop using the Service and delete your account at any time.

13.2 By Us

We may suspend or terminate your access to the Service if:

• You breach these Terms.
• Your use poses a risk to the Service or other users.
• Required by law.

We will provide reasonable notice where possible.

13.3 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately.
• We will delete your account data in accordance with our Privacy Policy.
• Provisions that by their nature should survive termination will remain in effect (including Sections 8, 10, 11, 12, and 14).

14. Governing Law and Disputes

• These Terms are governed by the laws of the Netherlands, without regard to conflict of law provisions.
• Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Overijssel, the Netherlands.
• If you are a consumer in the EU, you retain the benefit of any mandatory consumer protection provisions in your country of residence.
• EU consumers may also use the European Online Dispute Resolution platform at ec.europa.eu/odr.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Website at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
