PERMISSION TO USE & DISPLAY USER-GENERATED CONTENT

I/We allow Gambit Technologies Inc. (the “Company”), the owner of Stackable – Website Builder for WordPress (“Stackable”), to use and display content that I/we have produced and generated, and which –

1. I/we have voluntarily submitted to the Company, or

2. was identified by the Company for which permission has been requested to allow to use and display of the content. (“User-Generated Content”)

The Company may use and display my/our User-Generated Content only for the purpose of participating in the showcase of websites or webpages that use Stackable, case studies, and related marketing, social media and other similar efforts.

The permission to use and display is granted without need for any payment, compensation or any other obligation on the part of the Company. The permission to use is also extended to employees, agents, contractors and service providers that may be authorized by or act on behalf of the Company.

I/we reserve the right to withdraw the permission granted by providing written notice to the Company through email.

USER REPRESENTATIONS & WARRANTIES

I/We hereby agree, represent and warrant that:

1. I/we am/are solely responsible for my/our User-Generated Content;

2. I/we own all rights to my/our User-Generated Content and/or have obtained appropriate rights and permissions for use and display of the User-Generated Content;

3. The rights granted under these Terms of Use will not violate the rights of any third party, or any law, rule or regulation, and

4. The User-Generated Content is legitimate and not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful.

I/We hereby release, discharge and agree to hold the Company, and any person acting on their behalf, free and harmless from any liability related in any way to the User-Generated Content.

CONFIDENTIALITY & PRIVACY

The User-Generated Content is non-confidential, and I/we consent to the collection of

any personal information for the use and display of my/our User-Generated Content solely for the purpose stated above. I/we grant the Company the right to use my/our username, real name, image, likeness, personal descriptions, location or other identifying information in connection with the use and display of the User-Generated Content.

I/we reserve the right to request for the list of any information collected, disallow the use, or require removal of any personally identifiable information by providing notice to the Company through email.

INTELLECTUAL PROPERTY RIGHTS

I/We acknowledge that I/we do not acquire any ownership or other rights in any intellectual property, proprietary information and any materials of the Company including any of its websites, properties, accounts, pages or any other assets, software or services.

I/we acknowledge that I/we continue to be the owner/s and/or have primary control, possessory and usage rights over the User-Generated Content.

MISCELLANEOUS

These Terms of Use may not be assigned or transferred without the Company’s prior written consent.

For User-Generated Content owned, controlled or possessed by a corporation or other juridical entity, I/we warrant that I/we have full legal authority to represent and bind the owner of the User-Generated Content, including agreeing to and implementing these Terms of Use.

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Use are invalid, then that provision will be removed without affecting the rest of the Terms of Use.

Any suit or proceeding of any nature, can be brought, heard and decided exclusively by courts in Quezon City, Philippines, and these Terms of Use and their application will be subject to Philippine laws.

The Company reserves the right to amend these Terms of Use by giving notice, whether by posting on one of its websites or any other means, verbal, written or electronic, and without need for the consent of any other person or party.

Should it be necessary to give notice to the Company relating to the User-Generated Content or relating to any of the rights and obligations under these Terms of Use, I/we shall do so through email to partners@wpstackable.com and info@gambit.ph.
