1.3 Binding Nature

By accessing the Site or purchasing Products, you agree to be bound by these Terms. If you do not agree, you must not use the Site or purchase our Products.

2. RESEARCH USE ONLY DESIGNATION

2.1 RUO Classification

All Products are provided exclusively under Research Use Only (RUO) designation pursuant to:

• FDA Guidance on "Distribution of In Vitro Diagnostic Products Labeled for Research Use Only"
• 21 C.F.R. § 809.10(c)(2)
• Federal Food, Drug, and Cosmetic Act §§ 201(g) & 505
• Drug Quality and Security Act (DQSA) §§ 503A/B

2.2 Prohibited Uses

Products SHALL NOT be used for:

• Human or veterinary consumption or administration
• Diagnostic, therapeutic, or clinical applications
• Compounding under Sections 503A or 503B of the FD&C Act
• Performance enhancement or aesthetic purposes
• Any consumer, agricultural, or commercial applications
• Educational demonstrations involving human or animal subjects

2.3 Mandatory Labeling

Every Product bears the following warning: "FOR RESEARCH USE ONLY. NOT FOR HUMAN OR VETERINARY USE. NOT FOR DIAGNOSTIC, THERAPEUTIC, COMPOUNDING, OR CONSUMER APPLICATIONS."

2.4 Customer Obligations

By purchasing Products, Customer certifies and warrants:

• Products will be used solely for lawful laboratory research
• All handling will be by qualified personnel aged 21 or older
• Compliance with all applicable federal, state, and local regulations
• Maintenance of proper documentation and chain of custody
• No resale, redistribution, or transfer without prior written consent
• Immediate notification to BULKPEPTIDES.COM of any regulatory inquiries

2.5 Required Certifications

By completing any purchase, Customer certifies that:

• Customer is at least 21 years of age and legally authorized to purchase research materials
• Customer is affiliated with a legitimate research institution, university, or qualified laboratory facility
• Customer possesses the technical qualifications and expertise necessary to safely handle, store, and use research chemicals
• Customer has access to appropriate facilities, safety equipment, and waste disposal systems
• Customer will restrict access to Materials to authorized and properly trained personnel only

3. ELIGIBILITY AND CUSTOMER REQUIREMENTS

3.1 Age Requirement

Customers must be at least 21 years of age. We may request proof of institutional affiliation.

3.2 Qualified Personnel

Customer warrants that all individuals handling Products:

• Are properly trained in chemical safety and handling
• Understand SDS requirements and PPE protocols
• Are employees or affiliates of legitimate research institutions
• Have completed OSHA hazardous materials training or equivalent
• Hold relevant degrees, certifications, or professional training in chemistry, biology, pharmacology, or related fields
• Are authorized to work with potentially hazardous research chemicals under institutional protocols

3.3 Institutional Requirements

Customer must maintain:

• Valid business licenses and tax registrations
• Institutional biosafety and animal care approvals (if applicable)
• Written SOPs for chemical handling and disposal
• Adequate liability insurance (minimum $1M per occurrence)

3.4 Compliance Verification

BULKPEPTIDES.COM reserves the right to:

• Request documentation of qualifications and authorizations
• Conduct compliance audits
• Refuse service to any party at our sole discretion
• Report violations to appropriate regulatory authorities

4. ORDERS, PRICING, AND PAYMENT

4.1 Order Formation

• Prices on the Site are invitations to treat, not binding offers
• Customer's purchase order constitutes an offer
• Contract is formed only upon our written order confirmation
• We expressly reject any conflicting terms in Customer's documents

4.2 Pricing and Taxes

• All prices in USD unless otherwise specified
• Prices exclude taxes, duties, and shipping charges
• Prices subject to change without notice
• Customer responsible for all applicable taxes

4.3 Payment Methods

We accept:

• Major credit cards (Visa, Mastercard, American Express, Discover)
• ACH/wire transfers
• Cryptocurrency (BTC, ETH, USDT) through compliant providers

4.4 Payment Terms

• ALL SALES ARE FINAL
• Orders are non-cancellable once payment is processed
• No refunds except for verified manufacturing defects
• Late payments accrue 1.5% monthly interest

4.5 Chargeback Policy

Initiating a chargeback without first contacting [email protected] and allowing 30 business days for resolution constitutes breach and triggers:

• Immediate account termination
• Collection proceedings including attorney fees
• $2,500 liquidated damages fee
• Reporting to regulatory authorities

5. SHIPPING AND DELIVERY

5.1 Shipping Terms

• All shipments FCA origin (INCOTERMS 2020)
• Risk of loss passes upon carrier acceptance
• Customer responsible for insurance if desired

5.2 Delivery Restrictions

• Continental United States only
• UPS or FedEx exclusively
• We may refuse high-risk addresses

5.3 Material Transfer Agreement

• Each order requires execution of a Material Transfer Agreement (MTA) available at https://bulkpeptides.com/mta/
• The MTA is incorporated by reference into these Terms
• Upon signing the MTA, Customer acknowledges full responsibility for Products and compliance with all terms set forth at the MTA page
• Customer affirms the following commitments, including but not limited to those detailed at https://bulkpeptides.com/mta/:
  
  • Products will be stored under conditions indicated on product labels
  • Handling restricted to qualified, trained personnel
  • No administration to humans or animals under any circumstances
  • Use limited to research purposes only per 21 CFR 809.10(c)(2)(i)
  • Full compliance with all federal, state, and local laws
• BULKPEPTIDES.COM is fully absolved of all liability and indemnity obligations upon MTA execution
• Customer assumes all risks associated with possession, use, storage, and disposal of Products

5.4 Title and Risk Transfer

Title and all risk pass to Customer when carrier accepts shipment. BULKPEPTIDES.COM has no liability for delays, damage, or loss after carrier acceptance.

5.5 Storage and Handling Requirements

Upon receipt, Customer agrees that all Products must be:

• Stored exactly as specified on product labels (temperature, light exposure, humidity)
• Kept in secure, locked storage areas with restricted access
• Handled only by authorized personnel with appropriate training
• Used with appropriate personal protective equipment (PPE) at all times
• Disposed of as hazardous waste in compliance with applicable regulations
• Subject to consultation of provided Safety Data Sheets (SDS) before handling

6. RETURNS AND REFUNDS POLICY

6.1 All Sales Final

Due to the nature of research chemicals:

• NO RETURNS OR REFUNDS FOR ANY REASON
• No cancellations after payment
• No exchanges

6.2 Inspection Requirements

Customer must:

• Inspect shipments immediately upon receipt
• Report issues within 7 calendar days via [email protected]
• Provide photos and analytical data for claims

6.3 Limited Remedy

For verified manufacturing defects only, at our discretion:

• Replacement with conforming product, OR
• Credit toward future purchase
• Cash refunds are NEVER available

7. INTELLECTUAL PROPERTY

7.1 Ownership

BULKPEPTIDES.COM owns all intellectual property rights in:

• Website content and design
• Product formulations and synthesis methods
• Trademarks and trade names
• Technical documentation

7.2 Restrictions

Customer shall not:

• Reverse engineer Products
• Use our IP for competitive purposes
• Remove proprietary notices
• Scrape or harvest Site data

7.3 Limited License

Customer receives only a limited license to use Products for internal research. No other rights are granted.

8. WARRANTY DISCLAIMERS AND LIABILITY

8.1 Product Disclaimer

PRODUCTS ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8.2 No Guarantee of Results

BULKPEPTIDES.COM makes no representation regarding:

• Experimental outcomes
• Product performance in specific applications
• Batch-to-batch consistency beyond specifications

8.3 Limitation of Liability

BULKPEPTIDES.COM's total liability shall not exceed the purchase price of the specific Product. We are not liable for:

• Indirect, consequential, or incidental damages
• Lost profits or business interruption
• Personal injury after title transfer
• Damages exceeding $500 in any case

9. INDEMNIFICATION

9.1 Customer Indemnification

Customer shall defend, indemnify, and hold harmless BULKPEPTIDES.COM from all claims arising from:

• Customer's use or misuse of Products
• Violations of RUO restrictions
• Breach of this Agreement
• Regulatory non-compliance
• Third-party intellectual property claims
• Any downstream use of Products

9.2 Survival

Indemnification obligations survive termination indefinitely.

10. REGULATORY COMPLIANCE

10.1 Export Controls

Customer shall comply with all U.S. export control and sanctions laws, including:

• OFAC regulations
• EAR requirements
• Restricted party screening

10.2 Record Keeping

Customer shall maintain complete records for 10 years including:

• Purchase documentation
• Chain of custody records
• Usage and disposal logs
• Analytical data

10.3 Reporting Obligations

Customer must immediately notify BULKPEPTIDES.COM of:

• Regulatory inquiries about Products
• Any suspected diversion or misuse
• Adverse events in research settings

10.4 Specific Federal Compliance

Customer agrees to comply with:

• Toxic Substances Control Act (TSCA), 15 U.S.C. §2601 et seq. - governing research and development activities
• FDA regulations under 21 CFR 809.10(c)(2)(i) - "For Research Use Only" labeling requirements
• DEA regulations for controlled substances (where applicable)
• OSHA Hazard Communication Standard (29 CFR 1910.1200)
• EPA regulations for chemical waste disposal and environmental protection
• DOT regulations for transportation of hazardous materials

10.5 State and Local Compliance

Customer is solely responsible for ensuring compliance with all applicable state and local regulations including:

• State licensing requirements for research facilities and personnel
• Local chemical storage and handling ordinances
• State-specific waste disposal and environmental protection laws
• Regional workplace safety requirements
• Fire code and building safety regulations

11. PRIVACY AND DATA PROTECTION

11.1 Data Collection

We collect only necessary information for:

• Order processing
• Regulatory compliance
• Fraud prevention
• Customer support

11.2 Data Security

• Information encrypted in transit and at rest
• PCI-DSS compliant payment processing
• No storage of full payment card numbers

11.3 Data Use

We do not sell personal information. Data is shared only with:

12. DISPUTE RESOLUTION

This Agreement is governed by Wyoming law without regard to conflicts of law principles.

12.2 Negotiation

Parties must attempt good faith resolution for 30 days before formal proceedings.

12.3 Arbitration

Unresolved disputes subject to binding arbitration under AAA Commercial Rules in Wyoming.

12.4 Class Action Waiver

All disputes must be brought individually. No class actions permitted.

13. GENERAL PROVISIONS

13.1 Entire Agreement

This Agreement constitutes the entire understanding between parties and supersedes all prior agreements.

13.2 Modifications

BULKPEPTIDES.COM may update these Terms at any time. Continued use constitutes acceptance of changes.

13.3 Severability

If any provision is unenforceable, remaining provisions continue in full force.

13.4 Force Majeure

BULKPEPTIDES.COM is not liable for delays or failures due to circumstances beyond our control.

13.5 Assignment

Customer may not assign rights without written consent. BULKPEPTIDES.COM may freely assign.

13.6 Survival

Provisions regarding liability, indemnification, and confidentiality survive termination.

YOU SPECIFICALLY ACKNOWLEDGE THE RESEARCH USE ONLY DESIGNATION AND AGREE TO COMPLY WITH ALL APPLICABLE FEDERAL REGULATIONS.
