You must stop all use of the API and API Data
You must cease all distribution of API Data
Access to your account dashboard may be restricted
16.4.2 Data Obligations
You must delete all cached API Data within thirty (30) days
You must remove API Data from your Application
You must destroy any copies of API Data in your possession
You may retain derivative works that don't contain substantial API Data
You must provide certification of data destruction upon request
16.4.3 Financial Obligations
You remain liable for all fees incurred prior to termination
No refunds will be provided for prepaid fees
Outstanding invoices remain due and payable
Overage charges will be calculated and billed
16.5 Survival
The following provisions will survive termination of these API Terms:
Payment obligations and outstanding fees
Intellectual property rights and restrictions
Confidentiality obligations
Limitation of liability and disclaimers
Indemnification obligations
Governing law and dispute resolution
Data destruction and return obligations
16.6 Transition Assistance
Upon termination, CoinStats may, at its discretion, provide:
Limited transition period for data export
Assistance with data migration to alternative services
Documentation for data format conversion
Technical support for orderly wind-down
17. EXPORT COMPLIANCE & SANCTIONS
17.1 Export Control Compliance
You represent, warrant, and covenant that:
You are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
You are not listed on any U.S. government list of prohibited or restricted parties
You will not use the API in violation of any export control laws
You will not provide API access to prohibited persons or entities
You will comply with all applicable export administration regulations
17.2 Sanctions Compliance
You agree to comply with all applicable sanctions laws and regulations, including:
U.S. Treasury Department OFAC sanctions
European Union sanctions regimes
United Nations Security Council sanctions
Other applicable international sanctions
Anti-money laundering (AML) requirements
Know Your Customer (KYC) obligations
17.3 Restricted Countries and Entities
The API may not be used by or provided to:
Persons or entities in sanctioned countries
Specially Designated Nationals (SDNs)
Persons on government watch lists
Entities owned or controlled by prohibited persons
Persons engaged in prohibited activities
17.4 Screening and Monitoring
CoinStats may implement screening and monitoring procedures, including:
Automated sanctions screening of users
Ongoing monitoring of account activity
Reporting of suspicious activities
Cooperation with law enforcement
Account freezing or termination for violations
17.5 Notification Obligations
You must immediately notify CoinStats if:
You become subject to sanctions or export restrictions
Your ownership or control structure changes
You become aware of sanctions violations
You receive government inquiries related to sanctions
18. GOVERNING LAW; ARBITRATION
18.1 Governing Law
These API Terms and any disputes arising out of or relating to these Terms or the API will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
18.2 Dispute Resolution Process
18.2.1 Informal Resolution
Before initiating formal dispute resolution, the parties agree to attempt to resolve disputes through good faith negotiations for a period of sixty (60) days after written notice of the dispute.
18.2.2 Binding Arbitration
If informal resolution fails, any dispute will be resolved through binding arbitration administered by:
The American Arbitration Association (AAA) under its Commercial Arbitration Rules, or
JAMS under its Comprehensive Arbitration Rules & Procedures
18.3 Arbitration Procedures
Arbitration will be conducted as follows:
Location: Wilmington, Delaware, or by mutual agreement
Arbitrator: Single arbitrator with relevant industry experience
Language: English
Rules: AAA Commercial Rules or JAMS Comprehensive Rules
Discovery: Limited discovery as determined by the arbitrator
Award: Written award with reasoning
18.4 Arbitration Limitations
The arbitration will be subject to the following limitations:
Individual disputes only - no class actions or representative proceedings
No consolidation with other arbitrations without consent
Confidential proceedings unless otherwise agreed
Limited appeal rights under applicable arbitration rules
18.5 Exceptions to Arbitration
Either party may seek relief in court for:
Intellectual property infringement claims
Injunctive relief to protect confidential information
Enforcement of arbitration awards
Small claims court matters within jurisdictional limits
Emergency relief pending arbitration
18.6 Costs and Fees
Arbitration costs will be allocated as follows:
Each party bears its own attorneys' fees unless otherwise awarded
Prevailing party may recover reasonable costs in IP disputes
Fee-shifting provisions apply where required by law
18.7 Enforcement
Arbitration awards may be enforced in any court of competent jurisdiction. The parties consent to the jurisdiction of state and federal courts in Delaware for enforcement proceedings.
19. MISCELLANEOUS
19.1 Assignment
You may not assign, transfer, or delegate these API Terms or any rights or obligations hereunder without CoinStats' prior written consent. Any attempted assignment without consent will be void. CoinStats may assign these Terms without restriction, including in connection with mergers, acquisitions, or asset sales.
19.2 Severability
If any provision of these API Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remainder of the Terms will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
Any additional agreements executed between the parties
constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
19.4 Force Majeure
Neither party will be liable for any delay or failure to perform due to causes beyond its reasonable control, including:
Natural disasters, acts of God, or extreme weather
War, terrorism, civil unrest, or government actions
Pandemics, epidemics, or public health emergencies
Internet outages, telecommunications failures, or cyber attacks
Labor strikes, lockouts, or other industrial actions
Supplier failures or Third Party service disruptions
19.5 Waiver
No waiver of any provision of these API Terms will be deemed a waiver of any other provision or subsequent breach. Waivers must be in writing and signed by the waiving party. The failure to enforce any provision will not constitute a waiver of that provision or any other provision.
19.6 Notices
All notices required under these Terms must be in writing and delivered to:

Notices are effective upon receipt or three (3) business days after sending, whichever is earlier.
19.7 Relationship of Parties
The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, or agency relationship between the parties.
19.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
19.9 Counterparts
These Terms may be executed in counterparts, including electronic signatures, each of which will be deemed an original and all of which together will constitute one agreement.
19.10 Language
These Terms are written in English. Any translations are provided for convenience only, and the English version will control in case of conflicts.
