Terms of Service

These General Terms apply to all of our services. They are read together with the service-specific supplement for the service you are using (Stoat or Gifbox). Where the supplement says something more specific, the supplement governs for that service.

The date these Terms take effect depends on which Service you use and is stated in that Service’s supplement. When you first sign up for a Service, the then-current Terms apply to you immediately upon acceptance; the notice period in section 9 applies only to later changes we make for existing users.

Introduction

We get that legal documents can be overwhelming and boring, so we’ve tried our best to keep it as simple as possible while providing the information needed. It is important however to remember that these terms are legally binding between yourself and us if you choose to use our services, so please read them, together with the supplement for the service you are using, carefully before proceeding.

Throughout this document, we will use certain terminology to refer to things specific to us, so let’s establish what everything means:

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are therefore responsible for the Content that you post or share through our service. The type of content that is allowed or disallowed is set out in the applicable Community Guidelines. Service-specific terms about Content (including any licence you grant us to host and distribute it) are set out in the Service supplement.

You represent and warrant that, for any Content you upload or share: (a) you have the necessary rights, licences, consents and permissions to upload it and to grant the licence described in your Service supplement, or its use is otherwise permitted by law (for example, under fair use or fair dealing); and (b) the Content does not infringe the intellectual property, privacy, publicity or other rights of any person, and does not otherwise breach these Terms or the applicable Community Guidelines. We do not require you to own the Content you upload, but you are responsible for ensuring you have the right to share it.

We respect intellectual property rights and expect our users to do the same. We respond to clear notices of alleged copyright infringement and, in appropriate circumstances, terminate the accounts of users who are repeat infringers (see section 2, Termination).

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Revolt Platforms Ltd and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) the Content you upload, share or otherwise make available through the Service; (b) your use of the Service; or (c) your breach of these Terms, the applicable Community Guidelines, or any rights of a third party.

Our service may contain links to other websites that are not operated by us. If you click on a third-party link, you will be redirected to that third party’s site. We strongly advise you to review the Privacy Policy of every site you visit (eg: our Twitter or Reddit).

We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party sites or services.

The Service is provided “as is” with no warranty and/or liability for any outcomes of using our service.

9. Changes

As we continue to improve our services, we may need to make changes to our Terms of Service in the future. We will notify you of any changes by posting the updated Terms of Service on this page and specifying the effective date. Additionally, we may send you an email notification or display a notice within the Service.

When you first sign up for a Service, the Terms then in effect for that Service apply to you immediately upon acceptance. The notice period in this section applies to changes we make to these Terms for existing users.

You are advised to review our Terms of Service periodically for any changes. Changes to our Terms of Service will become effective for existing users on the specified date, which will typically be 30 days after the changes are posted. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms of Service. If you do not agree to the changes, you must discontinue using the Service by deleting your account.

You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, to any affiliate or successor, or in connection with a merger, acquisition, reorganisation or sale of assets, provided that doing so does not materially reduce your rights under these Terms.

11. Entire Agreement

These Terms, together with the Privacy Policy and the supplement and Community Guidelines for the Service you use, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings, whether written or oral, relating to its subject matter.

12. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if it cannot be so modified, severed from these Terms. The remaining provisions will continue in full force and effect.

13. No Waiver

Our failure or delay in exercising or enforcing any right or provision of these Terms will not constitute a waiver of that or any other right or provision. No waiver by us will be effective unless made in writing, and a waiver in one instance does not waive any subsequent breach.

14. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter or formation, are governed by and construed in accordance with the laws of England and Wales. You and we agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.

Nothing in this section deprives you of any protection you have under the mandatory consumer-protection laws of your country of residence, or of the right to bring proceedings in the courts of that country where applicable law gives you that right.
