These Website Terms of Use ("Terms") are a legally binding agreement between you and PublicAI Foundation, a foundation company incorporated under the laws of the Cayman Islands ("PublicAI", "we", "us" or "our"). They govern your access to and use of the website at https://publicai.io/ (the "Site").

BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

PLEASE NOTE: THE "DISPUTE RESOLUTION" SECTION CONTAINS AN ARBITRATION CLAUSE THAT REQUIRES INDIVIDUAL ARBITRATION AND PROHIBITS CLASS ACTIONS. BY ACCEPTING THESE TERMS, YOU AGREE TO THAT PROVISION.

SCOPE OF THESE TERMS

These Terms apply only to the Site. The Site is an information and contact portal. It lets you read about PublicAI, send a business request to us, and check whether a handle or email address is an official PublicAI account.

PublicAI products that run on their own domains, such as Trajector, are governed by their own terms. All documents are listed on our Legal page. If these Terms and a product's terms conflict with respect to that product, the product's terms control.

CHANGES TO THESE TERMS

We may change these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after a change means that you accept the changed Terms.

You represent that you are at least 18 years old and that you will comply with all laws and regulations that apply to your use of the Site. You will not use the Site to conduct or facilitate illegal activity.

You will comply with all applicable sanctions laws. You may not use the Site if you are located in, or are a national or resident of, a country or territory that is the subject of comprehensive sanctions, or if you are a person listed on a sanctions list maintained by the United Nations, the United States, the European Union, the United Kingdom, or the Cayman Islands.

ACCEPTABLE USE

You will not:

  • Use the Site in any way that violates applicable law or these Terms
  • Interfere with the operation or security of the Site, including by probing, scanning, or testing its vulnerability without our written permission
  • Use automated means to access the Site at a rate that exceeds what a human could reasonably do, or in a way that burdens our infrastructure
  • Submit false, misleading, or abusive content through the business contact form
  • Use the official-account verification feature to impersonate PublicAI or to deceive others
  • Copy, scrape, modify, or create derivative works from Site content without our authorization
  • Use PublicAI names, logos, or trademarks without our prior written approval

BUSINESS CONTACT FORM

When you submit the business contact form, you confirm that the information you provide is accurate and that you are authorized to contact us on behalf of any company you name. We may reply to you at the email address you provide. We are under no obligation to respond to any request.

OFFICIAL-ACCOUNT VERIFICATION

The official-account verification feature answers whether a handle or email address is one that PublicAI declares as its own. A "Verified" result means the account is on our official list at the time of your query. An "Unverified" result means the account is not on that list. The result is informational. It is not a guarantee about the behavior of any account, and it does not create any obligation on PublicAI toward you.

INTELLECTUAL PROPERTY

The Site and its content, including text, graphics, logos, images, and software, are owned by PublicAI or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal or internal business purposes. No other rights are granted.

PublicAI's name, logos, and trademarks may not be used without our prior written permission.

FEEDBACK AND SUBMISSIONS

Any questions, comments, suggestions, or other feedback you send to PublicAI through the Site are non-confidential. You grant PublicAI a worldwide, royalty-free, perpetual license to use that feedback for any purpose without compensation or attribution to you.

The Site links to third-party websites and services, including social media platforms, documentation sites, and PublicAI products on other domains. The Site also uses Google reCAPTCHA and Google Analytics. PublicAI does not control third-party websites and services and is not responsible for their content or practices. Your use of them is subject to their own terms.

DISCLAIMER OF WARRANTIES

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PUBLICAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PUBLICAI DOES NOT WARRANT THAT:

  1. The Site will meet your requirements
  2. The Site will be uninterrupted, timely, secure, or error-free
  3. Information on the Site will be accurate, complete, or current

The Site may contain errors, inaccuracies, or omissions. We may correct errors and update information at any time without notice.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PUBLICAI AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY.

IN NO EVENT WILL PUBLICAI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PublicAI and its affiliates, directors, officers, employees, agents, and service providers from any claims, losses, damages, and expenses, including reasonable legal fees, that arise from your use of the Site, your violation of these Terms, or your violation of any third-party rights.

DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Informal resolution:

Before starting arbitration, you agree to contact us at [email protected] with a written description of the dispute so that we can try to resolve it informally. If the dispute is not resolved within 60 days after we receive your notice, either party may start arbitration.

Agreement to arbitrate:

Any dispute or claim between you and PublicAI that arises out of or relates to these Terms or the Site will be resolved by final and binding arbitration, not in court, except that either party may bring an individual claim in a small claims court of competent jurisdiction. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. You and PublicAI each waive the right to a trial by jury.

Prohibition of class and representative actions:

YOU AND PUBLICAI AGREE THAT CLAIMS MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one party.

Confidentiality:

All aspects of the arbitration, including any ruling or award, are confidential.

Severability:

If any part of this Dispute Resolution section other than the class action prohibition is found unenforceable, the remainder stays in effect. If the class action prohibition is found unenforceable, this entire Dispute Resolution section is void.

Changes:

If we change this Dispute Resolution section, you may reject the change by sending written notice to [email protected] within 30 days after the change takes effect. If you reject a change, the version of this section in effect when you first accepted these Terms continues to apply.

GOVERNING LAW

These Terms are governed by the laws of the Cayman Islands, without regard to conflict of laws principles. Subject to the Dispute Resolution section, the courts of the Cayman Islands have exclusive jurisdiction over any dispute arising out of these Terms.

MISCELLANEOUS

These Terms and the Privacy Policy are the entire agreement between you and PublicAI regarding the Site. Our failure to enforce any provision is not a waiver of that provision. We may assign our rights and obligations under these Terms at any time. You may not assign yours without our written consent. If any provision is found unlawful or unenforceable, it is severed and the other provisions remain in effect. No joint venture, partnership, employment, or agency relationship is created between you and PublicAI. We are not liable for any delay or failure caused by circumstances beyond our reasonable control.
