1. Scope and Language / Anwendungsbereich und Sprache
(EN) These General Terms and Conditions (GTC) apply to all contracts between Advanced Ads GmbH (“Advanced Ads”) and the client. Any conflicting terms of the client are not recognized unless expressly agreed upon in writing. In case of discrepancies between the English and German versions, the German version shall prevail. (DE) Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge zwischen der Advanced Ads GmbH („Advanced Ads“) und dem Kunden. Entgegenstehende Bedingungen des Kunden werden nicht anerkannt, es sei denn, ihrer Geltung wurde ausdrücklich schriftlich zugestimmt. Bei Abweichungen zwischen der englischen und der deutschen Fassung ist die deutsche Fassung maßgebend.
2. Subject of Contract / Vertragsgegenstand
(EN) Advanced Ads provides software (plugins), support services, and digital content. The specific scope of services for the “A2 Subscription” is governed by a separate Product Term Sheet. (DE) Advanced Ads stellt Software (Plugins), Support-Dienstleistungen und digitale Inhalte zur Verfügung. Der spezifische Leistungsumfang für das „A2-Abonnement“ richtet sich nach einem separaten Produktdatenblatt (Term Sheet).
3. Support and Compatibility / Support und Kompatibilität
(EN) Support is only provided for software environments that meet the current system requirements. Advanced Ads is not obligated to provide support for outdated installations (“Legacy Versions”). Specific maintenance cycles are defined in the Product Term Sheet. (DE) Support wird nur für Softwareumgebungen geleistet, die den aktuellen Systemanforderungen entsprechen. Advanced Ads ist nicht verpflichtet, Support für veraltete Installationen („Legacy-Versionen“) zu leisten. Spezifische Wartungszyklen sind im Produktdatenblatt definiert.
4. Limitation of Liability / Haftungsbeschränkung
(EN) Advanced Ads is liable without limitation for intent and gross negligence. For slight negligence, Advanced Ads is only liable in the event of a breach of a material contractual obligation (cardinal obligation). In such cases, liability is limited to the foreseeable, typically occurring damage at the time of contract conclusion. (DE) Advanced Ads haftet unbeschränkt für Vorsatz und grobe Fahrlässigkeit. Für leichte Fahrlässigkeit haftet Advanced Ads nur bei Verletzung einer wesentlichen Vertragspflicht (Kardinalpflicht). In diesen Fällen ist die Haftung auf den bei Vertragsschluss vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
5. Right of Withdrawal / Widerrufsrecht
(EN) If the client is a consumer (B2C) within the EU, they have a statutory 14-day right of withdrawal. This right expires prematurely for digital content once the download has commenced and the client has consented to the loss of the right. (DE) Sofern der Kunde Verbraucher (B2C) innerhalb der EU ist, steht ihm ein gesetzliches 14-tägiges Widerrufsrecht zu. Dieses Erlischt bei digitalen Inhalten vorzeitig, sobald mit dem Download begonnen wurde und der Kunde dem Verlust des Widerrufsrechts zugestimmt hat.
6. Subscriptions and Cancellation / Abonnement und Kündigung
(EN) Subscription terms and renewal periods follow the statutory provisions of German law. After the initial term, consumers may cancel auto-renewing contracts with a notice period of one month. (DE) Abonnementlaufzeiten und Verlängerungszeiträume richten sich nach den gesetzlichen Bestimmungen. Nach Ablauf der Erstlaufzeit können Verbraucher automatisch verlängerte Verträge mit einer Frist von einem Monat kündigen.
7. Jurisdiction and Final Provisions / Gerichtsstand und Schlussbestimmungen
(EN) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Greifswald, Germany.
