GitLab Promotions Terms & Conditions

The following Terms and Conditions apply to promotions for GitLab purchases (“GitLab Promotions”). GitLab Promotions may be facilitated by offering a one-time discount for a non-refundable purchase. GitLab Promotions are not redeemable for cash or for use towards a previous purchase, and they cannot be transferred or combined with any other offer or discount. GitLab reserves the right to cancel or modify the terms of the GitLab Promotions at any time in its absolute and sole discretion. Please refer below for specific details surrounding current GitLab Promotions and eligibility.

GitLab Promotions:

GitLab Premium Offer: May 15th 2025 - September 30th 2025. First Time (New) Customers that meet all of the conditions below ("Eligibility Requirements") may qualify for a one-time GitLab Promotion to purchase a twelve (12) month subscription of GitLab Premium at $19 per User per month (inclusive of GitLab Code Suggestions and Chat at no additional cost). The GitLab Premium Offer is available for a limited time. Upon expiration of the initial twelve (12) month subscription period, GitLab will invoice Customer for its current number of Billable Users at the list price in effect as of the renewal date for the Premium license. The Eligibility Requirements include all of the following criteria: (1) must be a new Customer; (2) Customer may not purchase more than fifty (50) GitLab Premium licenses; and (3) if a new SMB Customer, must purchase via credit card. If GitLab determines in its sole and reasonable discretion that a Customer has submitted inaccurate or misleading information with respect to request to participate in the GitLab Promotion, GitLab reserves the right to invoice Customer for difference in the promotional price and the list price for the applicable subscription term. For purposes of this GitLab Promotion, a small to medium business (“SMB”) has less than 250 employees as of the date of purchase (including any subsidiary, affiliate or parent corporation).

SMB GitLab Premium + Duo Pro Offer: (September 4th 2024 - May 14, 2025) First Time (New) Customers that meet the eligibility requirements for a small to medium business (“SMB”) as further described below ("Eligibility Requirements") may qualify for a one-time GitLab Promotion to purchase a twelve (12) month subscription of GitLab Premium at $19 per User per month. Eligible Customers that make a purchase pursuant to this Promotional Offer will also receive a one-time, twelve (12) month subscription for GitLab Duo Pro Add-On licenses in an amount equal to the initial number of Premium User licenses purchased. The SMB GitLab Premium Offer is available for a limited time. Upon expiration of the initial twelve (12) month subscription period, GitLab will invoice Customer for its current number of Billable Users at the list price in effect as of the renewal date for both the Premium and GitLab Duo Pro licenses. The Eligibility Requirements include all of the following criteria: (1) must be a new Customer; (2) Customer’s company or business must have less than 75 employees as of the date of purchase (including any subsidiary, affiliate or parent corporation); (3) Customer may not purchase more than twenty (20) GitLab Premium licenses; (4) Customer must purchase via credit card; and (5) Customer must submit a qualification form on the URL listed above (no longer available due to promotion expiration), or provide another form of written consent as presented by GitLab agreeing to these Promotional Terms and Eligibility Requirements, including listing and verifying Customer’s total number of employees. If GitLab determines in its sole and reasonable discretion that a Customer has submitted inaccurate or misleading information with respect to request to participate in the GitLab Promotion, GitLab reserves the right to invoice Customer for difference in the promotional price and the list price for the applicable subscription term.

With regard to the GitLab Promotions listed above, any additional User license added during a subscription purchased as part of the foregoing GitLab Promotions (“Add-On Users”) will be invoiced by GitLab quarterly at the same discounted rate and prorated for the balance of the subscription term. If GitLab cannot verify Add-On Users quarterly (once every three months), or Customer does not otherwise provide reasonable evidence of Add-On Users on a quarterly basis, GitLab will perform a true-up at the end of the annual subscription term and invoice Customer for all such Add-On Users during the previous twelve (12) months at the list price at time of invoice for GitLab’s Premium product offering.

The forgoing GitLab Promotion(s) only apply to the GitLab Premium product offering and are limited to a one-time twelve (12) month Subscription purchase. Other GitLab products or services are not eligible for the GitLab Promotion(s).

GitLab Orbit Offer: Available October 29, 2026 for a limited time (“Promo Offer Period”). Existing and new Premium and Ultimate Customers that meet all of the conditions below (“Eligibility Requirements”) may qualify for a one-time GitLab Promotion to purchase a GitLab Orbit All-Access Pack subscription (“All-Access Pack”) during the Promo Offer Period. The All-Access Pack is an add-on to Customer’s Premium or Ultimate subscription. It includes a number of query packs (“Query Packs”) equal to Customer’s Billable Users on the base subscription as of the effective date of the Order Form under which the All-Access Pack is purchased (or, for GitLab Flex Customers, the initial reserved seat quantity) (the “Initial Quantity”). If purchased during an annual period, the All-Access Pack is billed on a prorated basis for the remainder of that annual period. In no event will the Promotional Term extend beyond the end date of Customer’s base subscription. The number of Query Packs is fixed at the Initial Quantity for the Promotional Term. The Promotional Term begins on the date the All-Access Pack is added to Customer’s subscription and ends on the earlier of (a) twelve (12) months thereafter or (b) the end of the annual period of Customer’s subscription term in which the All-Access Pack is purchased, except to the extent a different term is specified in the Order Form (the “Promotional Term”). GitLab will not invoice Customer for, or perform a true-up with respect to, any Billable Users added after the effective date of the Order Form during the Promotional Term. Each Query Pack includes 20 GitLab Credits. All Query Packs form a single shared pool for Customer’s organization and are not allocated per User. The Query Packs, together with the included Orbit graph capacity for Customer’s subscription tier, are the “Included Amounts”. During the Promotional Term, GitLab will not charge Customer additional fees for queries or graph capacity above the Included Amounts. This does not increase the Included Amounts, create an entitlement to any level of usage, or limit GitLab’s rights under the Agreement. GitLab will meter query usage and graph capacity on GitLab.com and GitLab Dedicated, and query usage only on Self-Managed. GitLab may use metered usage data and Customer’s Billable User count, including any Billable Users added during the Promotional Term, to determine the sizing of any subsequent GitLab Orbit offering. Use of GitLab Orbit is subject to per-User rate limits, which GitLab may adjust from time to time. For Customers on GitLab Dedicated, use of GitLab Orbit is subject to an additional GitLab Orbit Dedicated fee, determined by the size of Customer’s GitLab Dedicated instance and set forth as a separate line item in the Order Form. The fee is fixed and will not be adjusted during the Promotional Term. Following the Promotional Term, and to the extent available for Customer’s deployment, Customer may continue to use GitLab Orbit by purchasing an Orbit reservation under GitLab Flex. Any use of GitLab Orbit after the Promotional Term, whether under GitLab Flex or any other generally available offering, is subject to GitLab’s then-current Orbit pricing and usage-based billing terms. The All-Access Pack is billed annually in advance and is non-renewable. Any GitLab Credits purchased by Customer separate from the All-Access Pack may not be used, reserved, or applied toward the All-Access Pack or GitLab Orbit usage while the All-Access Pack is active. Queries may be used only for GitLab Orbit, are non-transferable, have no cash value, and do not carry over to any subsequent month or term. The Eligibility Requirements include all of the following criteria: (1) must be an existing or new Premium or Ultimate Customer with an active subscription; (2) must purchase the All-Access Pack through Customer’s GitLab Account Team or an authorized GitLab Partner; and (3) the All-Access Pack must cover all Billable Users in the applicable subscription as of the effective date of the Order Form, in the Query Pack quantity described above. GitLab reserves the right to modify or discontinue this promotional offer at any time in its sole discretion. Any such modification or discontinuation will not affect an All-Access Pack purchased before its effective date for the remainder of the applicable Promotional Term. The Add-On Users terms applicable to other GitLab Promotions do not apply to the GitLab Orbit Offer.

GitLab Credits Offer: Available January 15, 2026 for a limited time ("Promo Offer Period"). Existing and new Premium and Ultimate Customers that meet all of the conditions below ("Eligibility Requirements") may qualify for a one-time GitLab Promotion to receive monthly GitLab Credits at no additional cost during the Promo Offer Period. This promotional offer is not a contractual entitlement of the Customer’s subscription. Premium Customers are eligible to receive twelve (12) credits per User per month, and Ultimate Customers are eligible to receive twenty-four (24) credits per User per month. The promotional GitLab Credits are available for use at no additional cost during the Promo Offer Period only (the end date to be announced by GitLab with reasonable notice). Upon expiration of the Promo Offer Period, promotional GitLab Credits will expire and any continued use of GitLab Credits will be subject to Customer agreeing to a Monthly Commitment Pool and On-Demand Credits as applicable. The Eligibility Requirements include all of the following criteria: (1) must be an existing or new Premium or Ultimate Customer with an active subscription; and (2) must have access to a version of GitLab that offers usage based billing products during the Promo Offer Period. Promotional credits are non-transferable, have no cash value, and may not be carried over beyond the Promo Offer Period regardless of subscription length or start date. GitLab reserves the right to modify or discontinue this promotional offer at any time in its sole discretion.
