A Rights to Sell Agreement for 3D Prints with the Quack Shack is a legal document that outlines the terms under which one party (the "licensor") grants another party (the "licensee") the right to sell 3D print files created by the licensor. This agreement is important in protecting intellectual property and ensuring that both parties understand their rights and obligations. Here’s a breakdown of the key components of such an agreement:
1. Parties Involved
The agreement identifies the parties involved:

The Licensor: The creator or owner of the 3D print files, who holds the intellectual property rights.

The Licensee: The individual or entity who is granted permission to sell the 3D print but not the file itself.

2. Grant of Rights
This section explains what rights the licensor is granting to the licensee. These rights could be:

The right to sell the 3D print files (only in physical form).

The scope of the rights, whether exclusive or non-exclusive. An exclusive license means the licensee is the only one allowed to sell the files, while a non-exclusive license means multiple parties may be granted this right.

The territory where the licensee is allowed to sell the files (e.g., globally or in a specific region).

The duration of the rights granted (e.g., for a specific time period or indefinitely).

3. Intellectual Property and Ownership
This section clarifies that the licensor retains full ownership of the 3D print files, including any related intellectual property rights such as copyright or trademarks. It also stipulates that the licensee cannot claim ownership of the files or modify them in a way that would infringe upon the licensor’s rights.
4. Payment and Compensation
This tier provides the agreement on how the licensor will be compensated for granting the rights to sell the physical 3D print of our files.
5. Restrictions
The agreement outlines any restrictions placed on the licensee, such as:

Prohibition on sublicensing: The licensee may not be allowed to transfer the selling rights to another party.

Modification restrictions: The licensee may be prohibited from altering or re-engineering the 3D print files before selling them.

Non-compete clauses: The licensee might be restricted from selling similar files from other creators, depending on the nature of the agreement.

6. Quality Control
The licensor may include clauses related to the quality of the printed items made from the files. This ensures that the products created using the 3D print files meet certain standards. For example:

The licensee may need to submit a sample product for approval before selling.

The licensee must adhere to any guidelines set by the licensor for printing quality or materials.

7. Confidentiality
The agreement may require the licensee to keep the 3D print files confidential, preventing them from sharing the files with unauthorized parties or using them for purposes other than those specified in the agreement.
8. Indemnification
This clause states that the licensee will protect the licensor from any legal liabilities that arise from the licensee's use of the 3D print files. For example, if the licensee's sale of the files infringes on a third party's intellectual property rights, the licensee would bear responsibility.
9. Termination
The conditions under which the agreement can be terminated are defined. This could include:

Breach of terms by the licensee.

Expiration of the license term.

Mutual agreement by both parties to end the relationship.

Upon termination of membership, the licensee will be required to stop selling the prints.

Conclusion:
A Rights to Sell Agreement for 3D Prints helps establish clear expectations, protect intellectual property, and ensure fair compensation for the parties involved. Both the licensor and the licensee need to carefully review the terms to ensure that their interests are adequately protected.*This tier does not provide any of the files.
