These Terms and Conditions (“Terms”) govern your access to and use of the Phase One Labz website (phaseonelabz.com), and any orders you place with Phase One Labz LLC (“Phase One Labz,” “we,” “us,” “our”). By accessing the site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the site.
1. Eligibility and Research Use
You must be at least 21 years of age and a qualified researcher, licensed professional, or institutional representative purchasing materials for legitimate laboratory research use only. All products sold by Phase One Labz are intended exclusively for in-vitro scientific investigation. They are not for human or animal consumption, diagnostic use, or therapeutic application. By placing an order you represent and warrant that the products will be used solely for lawful research purposes consistent with our Research Use Only policy.
2. Account Registration
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized access. We may suspend or terminate accounts that violate these Terms or are used for prohibited purposes.
3. Orders, Pricing, and Payment
All prices are listed in U.S. dollars and are subject to change without notice. Placing an order constitutes an offer to purchase, which we may accept or decline at our discretion. Reasons we may decline include but are not limited to: stock unavailability, pricing or product description errors, suspected fraud, or jurisdictional restrictions. Payment is processed by third-party payment processors; by submitting payment information you authorize us and our processors to charge your selected payment method for the order total, including applicable taxes and shipping. If a charge is declined, the order will not be fulfilled.
4. Shipping and Delivery
Shipping terms, processing windows, and carrier details are set out in our Shipping Policy, which forms part of these Terms. Title and risk of loss pass to you upon delivery to the carrier.
5. Returns and Refunds
Refund eligibility and the process to request a refund are set out in our Refund Policy, which forms part of these Terms. Sales are final once a product has shipped, except as expressly provided in the Refund Policy.
6. Product Authenticity and Disclaimers
We warrant that products will be substantially as described on the product page and within the labeled tolerance for purity. Beyond this limited warranty, all products are provided “as is” and “as available” without any other express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no representations regarding biological activity, therapeutic effect, or suitability for any specific research outcome. Certificates of Analysis, where provided, reflect testing of representative lots and are not a guarantee of identical results across all units.
7. Prohibited Uses
You agree not to: (a) use any product for human or animal consumption or for any clinical, diagnostic, or therapeutic purpose; (b) resell or redistribute products in violation of applicable law; (c) misrepresent your identity, qualifications, or intended use; (d) attempt to access non-public areas of the site, interfere with site operation, or scrape data without authorization; (e) use the site to violate any law or third-party right.
8. Intellectual Property
All content on the site, including the Phase One Labz name, logo, product imagery, copy, and Certificates of Analysis, is owned by Phase One Labz LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, or create derivative works without our prior written consent, except for personal, non-commercial reference use.
9. User-Submitted Content
If you submit reviews, comments, or other content, you grant Phase One Labz a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with the site and our marketing. You represent that the content is yours to license and does not violate any third-party right or applicable law.
10. Limitation of Liability
To the fullest extent permitted by law, Phase One Labz LLC, its officers, members, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the site or any product. Our total aggregate liability for any claim arising out of or relating to these Terms, the site, or any product will not exceed the amount you paid us for the product giving rise to the claim in the six (6) months preceding the event giving rise to liability. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Phase One Labz LLC and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your misuse of any product, including any use for human or animal consumption, (c) your violation of any law or third-party right, or (d) any content you submit.
12. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Subject to Section 13 (Arbitration), the state and federal courts located in Weld County, Colorado have exclusive jurisdiction over any matter not subject to arbitration, and you consent to personal jurisdiction in those courts.
13. Binding Arbitration and Class Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms, the site, or any product (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that you and we retain the right to bring an individual action in small-claims court. The arbitration will be conducted in Weld County, Colorado, or remotely if both parties agree. You and Phase One Labz waive any right to participate in a class action, class arbitration, or representative proceeding. Either party may opt out of this Section 13 by sending written notice to [email protected] within thirty (30) days of first agreeing to these Terms.
14. Modifications
We may revise these Terms at any time by posting an updated version with a new “Last updated” date. Material changes will be communicated by site notice or email where reasonable. Your continued use of the site after the effective date constitutes acceptance of the revised Terms.
15. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. These Terms, together with the Refund Policy, Shipping Policy, Privacy Policy, and Research Use Only policy, constitute the entire agreement between you and Phase One Labz regarding the site and your purchases.
