Unitymix Terms of Use
NOTICE: YOUR ACCESS TO AND USE OF UNITYMIX SERVICES ARE GOVERNED BY THESE TERMS. BY USING OUR SERVICES, YOU AGREE TO BE BOUND BY ALL TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.
Definitions
- "Unitymix" refers to Unitymix, Inc., its subsidiaries, affiliates, services, applications, websites, and related platforms.
- "User" refers to any individual or entity accessing or using Unitymix Services.
- "User Content" means any text, images, videos, audio, messages, files, comments, or other materials uploaded, submitted, posted, streamed, or otherwise provided by Users.
- "Services" includes the Unitymix website, platform, applications, APIs, creator tools, monetization features, and related services.
Eligibility & Age Requirements
Users must meet the minimum legal age required in their jurisdiction to access or use Unitymix Services.
Individuals under the age of 18 may browse certain areas of the platform only where legally permitted, but may not upload content, create monetized creator accounts, sell subscriptions, or engage in financial transactions through Unitymix.
All creators, sellers, and monetized account holders must be at least 18 years old.
Unitymix reserves the right to request age verification and may suspend or terminate accounts that provide false, misleading, or unverifiable information.
Account Obligations & Security
- Provide accurate, complete, and current account information.
- Maintain the confidentiality of your login credentials.
- Be responsible for all activity occurring under your account.
- Notify Unitymix immediately of unauthorized access or security breaches.
- Not share, sell, transfer, or permit unauthorized use of your account.
- Keep your account secure: You are solely responsible for protecting your password, two-factor authentication codes, recovery methods, and account access information.
User Representations & Warranties
- You have the legal authority to enter into these Terms.
- You will comply with all applicable laws and regulations.
- Your User Content is owned by you or properly licensed.
- Your content and conduct will not violate intellectual property, privacy, publicity, or other third-party rights.
- You will not use Unitymix for fraudulent, illegal, abusive, or harmful purposes.
User Generated Content Terms & Conditions
Users retain ownership of their User Content. However, by submitting or posting content on Unitymix, you grant Unitymix a worldwide, non-exclusive, royalty-free, transferable license to host, store, reproduce, display, distribute, promote, and operate such content in connection with the Services.
This license allows Unitymix to operate, improve, market, and provide platform functionality.
You represent and warrant that you own or possess all rights necessary to upload, publish, and distribute your content.
Submitting Content & Intellectual Property
Users are responsible for ensuring that submitted content does not violate copyrights, trademarks, publicity rights, or other intellectual property laws.
Unitymix reserves the right to remove, restrict, disable, demonetize, or permanently delete content that violates these Terms or applicable laws.
Repeat infringers may have their accounts suspended, terminated, or reported to appropriate authorities.
Prohibited Content & Conduct
- Illegal, fraudulent, or deceptive material
- Malware, spyware, harmful code, or phishing attempts
- Harassment, hate speech, threats, or abusive conduct
- Unauthorized exploitation of minors or illegal sexual content
- Content violating privacy or intellectual property rights
- Platform manipulation, spam, or impersonation
Unitymix may investigate, moderate, remove, or restrict content and accounts at its sole discretion to maintain platform safety, comply with laws, and protect Users.
Creator Monetization & Payment Terms
Creators participating in monetization features must provide accurate payment and tax information.
Unitymix may use third-party payment providers, processors, or financial partners to process transactions and payouts.
Unitymix reserves the right to delay, withhold, reverse, or deny payouts in cases involving fraud, suspicious activity, chargebacks, policy violations, legal compliance requirements, or disputes.
Users are responsible for any taxes, reporting obligations, or financial liabilities associated with earnings received through Unitymix.
User Conduct
Users agree to act responsibly and respectfully while using Unitymix Services.
- Do not harass, threaten, or abuse others
- Do not impersonate individuals or organizations
- Do not interfere with platform operations or security
- Do not use Unitymix for unlawful activities
- Do not attempt unauthorized access to systems or accounts
Indemnification
You agree to defend, indemnify, and hold harmless Unitymix, its affiliates, employees, officers, contractors, and partners from any claims, damages, liabilities, losses, expenses, or legal fees arising from:
- Your User Content
- Your violation of these Terms
- Your misuse of the Services
- Your violation of laws or third-party rights
Termination & Enforcement
Unitymix reserves the right, at its sole discretion, to suspend, restrict, demonetize, or terminate accounts that violate these Terms, applicable laws, or platform policies.
Unitymix may also remove content, disable access, or cooperate with law enforcement where legally required.
Disclaimers & Limitation of Liability
Unitymix Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied.
Unitymix does not guarantee uninterrupted, secure, or error-free operation of the Services.
To the fullest extent permitted by law, Unitymix shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, data loss, reputational harm, or service interruptions.
Arbitration Notice, Dispute Resolution & Governing Law
IMPORTANT ARBITRATION NOTICE:
These Terms contain a binding arbitration agreement requiring most disputes between you and Unitymix to be resolved through individual arbitration instead of in court. By using Unitymix, you agree to waive certain legal rights, including the right to a jury trial and participation in class actions or representative proceedings.
Mandatory Pre-Arbitration Notice
Before starting arbitration, both parties agree to attempt to resolve disputes informally and in good faith.
Any party seeking arbitration must first send written notice including:
- Full legal name and contact information
- Unitymix username or associated email address
- A detailed description of the dispute
- The specific requested resolution or damages
Notices to Unitymix must be sent to: legal@unitymix.com
Both parties agree to allow at least thirty (30) days to attempt informal resolution before arbitration begins.
Arbitration Process
If disputes cannot be resolved informally, they shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under applicable consumer arbitration rules.
Arbitration may occur remotely, through written submissions, by video conference, or in another mutually agreed format.
The arbitrator shall have exclusive authority to determine the scope, enforceability, and interpretation of this arbitration provision.
Class Action & Jury Trial Waiver
To the fullest extent permitted by law:
- Disputes must be brought individually and not as part of a class, collective, consolidated, or representative action.
- You waive any right to participate in class action lawsuits, class arbitrations, or private attorney general proceedings.
- You and Unitymix waive the right to a jury trial in any permitted court proceeding.
Exceptions
- Eligible claims may still be brought in small claims court
- Either party may seek injunctive relief for intellectual property misuse or unauthorized access issues
- Nothing prevents lawful reporting to regulatory or government authorities
Governing Law
These Terms and all disputes relating to Unitymix shall be governed by the laws of the State of New York, without regard to conflict of law principles.
Miscellaneous Provisions
- Severability: If any provision is deemed unenforceable, the remaining provisions remain effective.
- Force Majeure: Unitymix is not responsible for delays or failures caused by events beyond reasonable control.
- No Waiver: Failure to enforce a provision does not waive future enforcement rights.
- Assignment: Users may not assign rights or obligations without written consent.
- Entire Agreement: These Terms constitute the complete agreement between Users and Unitymix.
- Electronic Communications: Electronic notices and communications satisfy legal notice requirements.
