    Count the companies in your last venture commitment. If you can't name ten, what you bought was a fee schedule.

    A company can have thousands of employee shareholders and never register with the SEC. Equity issued under a comp plan doesn't count toward the threshold. That carve-out explains staying private better than any founder's preference.
