Effective date: 21 January 2026

These Terms apply to NexPhone reservation deposits ($199) and waitlist holds ($1) placed through Nex Computer LLC (“Nex,” “we,” “us,” “our”). By placing a reservation or joining the waitlist, you agree to these Terms and our Privacy Policy. If you do not agree, do not place a reservation or join the waitlist.

1) Definitions

  • “NexPhone”: the NexPhone device described on our website at the time you place a reservation or join the waitlist.

  • “Reservation Deposit”: the $199 payment that provides priority access to purchase NexPhone in select direct-shipping markets.

  • “Waitlist Hold”: the $1 payment that places you on a waitlist for a market served by an authorized reseller/distributor.

  • “Target Shipping Window”: our current estimate for when NexPhone may begin shipping (currently Q3 2026). This is an estimate only and may change.

2) What a Reservation or Waitlist Is (and Is Not)

A Reservation Deposit or Waitlist Hold is not a final purchase of NexPhone. It does not guarantee a specific ship date, delivery date, features, certifications, or availability, and it does not create a contract for sale of the final product.

If and when NexPhone becomes available, we will provide instructions to complete checkout (for direct-shipping markets) or provide next steps through an authorized reseller/distributor (for reseller markets).

3) Reservation Deposit (Direct Shipping Markets) — $199

3.1 What you receive

By paying the Reservation Deposit, you receive:

  • Priority access to purchase NexPhone before general availability (subject to inventory and regional availability), and

  • Access to any reservation pricing / early-bird pricing we state at the time you place the deposit (if offered).

3.2 Completing your purchase

When NexPhone is closer to shipping, we will email you instructions to complete checkout for:

  • the remaining balance (as shown in your reservation flow at the time you placed your deposit), plus

  • shipping, and

  • any applicable taxes, VAT, duties, or import fees based on your delivery location.

Your Reservation Deposit will be applied toward the final purchase total, unless otherwise stated.

3.3 Price and configuration

Product specifications, included items, software features, certifications, and pricing may change before final availability. Any reservation pricing/early-bird pricing applies only if you complete checkout within any time window we specify and while inventory is available.

3.4 Refunds and cancellation

The Reservation Deposit is fully refundable unless we clearly state otherwise at checkout. You may cancel at any time before you complete final payment for a full refund of the deposit to the original payment method (subject to reasonable fraud/abuse checks). If the original payment method is unavailable, we may require an alternative refund method.

4) Waitlist Hold (Authorized Reseller / Distributor Markets) — $1

4.1 What you receive

By paying the Waitlist Hold, you:

  • join the waitlist for your country/market, and

  • will receive updates or next steps when availability is confirmed.

4.2 Reseller pricing and availability

For reseller markets:

  • NexPhone will be offered through an authorized reseller / local distributor.

  • Local pricing, taxes, import handling, warranty terms, language requirements, support obligations, and availability are set by the reseller, not Nex.

  • Joining the waitlist does not guarantee you can purchase NexPhone, and does not guarantee pricing.

4.3 Refunds and cancellation

The Waitlist Hold is refundable unless we clearly state otherwise at checkout. You may cancel at any time for a refund to the original payment method (subject to reasonable fraud/abuse checks).

5) Estimates, Delays, and Changes

We may update timelines (including the Target Shipping Window), manufacturing plans, certification schedules, logistics routes, and product configuration. We will make reasonable efforts to communicate meaningful updates, but we do not guarantee any particular timeline.

6) Taxes, Duties, and Import Fees

For direct-shipping markets, your final checkout may include:

  • sales tax / VAT (where applicable),

  • shipping charges, and

  • duties or import fees required by your country.

Where required by law, we will collect taxes at checkout. In some countries, duties and import fees may be collected on delivery by the carrier or local authorities. Responsibility depends on your destination and selected delivery method.

7) Account, Contact Info, and Communications

You agree to provide accurate contact information (including email) and to keep it up to date. We will send reservation/waitlist updates and checkout instructions to the email address you provide.

8) Limits and Anti-Fraud

We may limit reservations/waitlist entries per person, household, payment method, or account. We may cancel or refund reservations/waitlist holds that we reasonably suspect are fraudulent, abusive, or intended for unauthorized resale.

9) Warranty and Support (General)

Warranty terms may vary by country and sales channel (direct vs reseller). Final warranty terms will be provided at the time of final purchase (direct) or by the authorized reseller/distributor (reseller markets). Nothing in these Terms creates a warranty beyond what is provided at final sale.

10) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEX PROVIDES RESERVATION AND WAITLIST SERVICES “AS IS” AND DISCLAIMS ALL WARRANTIES RELATED TO THE RESERVATION/WAITLIST PROCESS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR RESERVATION OR WAITLIST. NEX’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE RESERVATION DEPOSIT OR WAITLIST HOLD AT ISSUE.

Some jurisdictions do not allow certain limitations; in those jurisdictions, limitations apply to the maximum extent permitted by law.

12) Governing Law and Disputes (Delaware, United States)

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict of law rules, except where consumer protection laws require otherwise.

Any dispute arising out of or relating to these Terms, the Reservation Deposit, or the Waitlist Hold will be brought in the state or federal courts located in the State of Delaware, and you and Nex consent to the personal jurisdiction of those courts. Nothing in these Terms limits any rights you may have under applicable consumer protection laws that cannot be waived.

13) Changes to These Terms

We may update these Terms from time to time. The Terms in effect at the time you place your reservation/waitlist hold will apply to that transaction. Updated Terms will apply to future transactions.
