1. Acceptance of Terms
By accessing or using the Continuuiti platform, website (continuuiti.com, tools.continuuiti.com), APIs, or any associated services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services.
If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” and “your” refer to that entity.
You must be at least 18 years of age to use the Services. By using the Services, you represent that you are at least 18 years old.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the change becoming effective. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
2. Description of Services
Continuuiti provides automated location intelligence and external risk assessment services, including:
- Geocoding: Address validation and coordinate conversion
- LULC+ Reports: Land Use/Land Cover analysis with environmental compliance screening
- Climate Risk Reports: Physical climate risk assessment across multiple hazards and scenarios
- Full Site Risk Reports: Comprehensive location risk assessment
- API Access: Programmatic access to Continuuiti’s capabilities
The Services are delivered through our web-based platform and APIs. Reports and data are generated using third-party data sources, including satellite imagery providers, climate modeling institutions, and environmental databases.
The Services are designed to support your risk assessment and due diligence processes. They are informational in nature and do not constitute professional environmental, legal, financial, or compliance advice.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Services, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@continuuiti.com if you become aware of any unauthorized use of your account or any other breach of security.
Continuuiti will not be liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Restrictions
Unless otherwise agreed in writing:
- Each account is for use by a single organization
- Account credentials may not be shared with third parties
- You may not create multiple accounts to circumvent usage limits or fees
3.4 Suspension and Termination
We reserve the right to suspend or terminate your account at any time if we reasonably believe that:
- You have violated these Terms
- Your use of the Services poses a security risk
- Your use of the Services may cause harm to Continuuiti or other users
- Required by law or legal process
4. Credits, Payments, and Pricing
4.1 Credit System
The Services operate on a credit-based system. Credits may be purchased through the platform and used to generate reports or access paid features. Credit balances and pricing are displayed within your account dashboard.
4.2 Pricing
Current pricing is displayed on the platform. Continuuiti reserves the right to change pricing at any time. Price changes will be communicated via email or platform notification at least 30 days before taking effect. Price changes do not affect credits already purchased.
4.3 Payment
Payments are processed through our third-party payment providers. By making a purchase, you agree to the payment provider’s terms of service. You represent that you are authorized to use the payment method provided.
4.4 Refunds
Credits: Purchased credits are non-refundable except where required by law.
Reports: Due to the digital nature of the Services, reports are non-refundable once generated. If you believe a report contains errors due to a platform malfunction (not due to limitations of underlying data sources), please contact support@continuuiti.com within 7 days of report generation. We will review your request and, at our sole discretion, may issue a credit or replacement report.
4.5 Taxes
Prices displayed are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your purchases, except for taxes based on Continuuiti’s income.
4.6 Failed Payments
If a payment fails, we may suspend your access to paid features until payment is resolved. We are not liable for any loss or damage resulting from service suspension due to payment failure.
5. API Terms
5.1 API Access
API access is provided subject to these Terms and any additional API documentation. By using the API, you agree to:
- Use the API only for lawful purposes consistent with these Terms
- Comply with all rate limits and usage restrictions
- Keep your API keys confidential and secure
- Not share, sell, or transfer your API access to third parties without written authorization
5.2 API Keys
API keys are confidential credentials. You are responsible for all activity that occurs using your API keys. If you believe your API key has been compromised, you must regenerate it immediately and notify us at support@continuuiti.com.
5.3 Rate Limits and Fair Use
API access is subject to rate limits as specified in the API documentation. We reserve the right to throttle or suspend API access if we determine, in our sole discretion, that your usage:
- Exceeds reasonable limits
- Negatively impacts platform performance
- Constitutes abuse or misuse
5.4 API Changes
We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will endeavor to provide at least 90 days’ notice for breaking changes to production API endpoints.
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Services for lawful business purposes, including:
- Assessing location-based risks for your organization’s operations
- Supporting due diligence and compliance processes
- Informing business decisions related to facilities, suppliers, or investments
- Internal reporting and analysis
6.2 Prohibited Use
You agree NOT to:
- Use the Services for any illegal purpose or in violation of any applicable laws
- Attempt to reverse-engineer, decompile, or disassemble any part of the Services
- Attempt to gain unauthorized access to the Services, other accounts, or computer systems
- Use automated means (bots, scrapers) to access the Services except through the API with valid credentials
- Circumvent any rate limits, access controls, or security measures
- Resell, redistribute, or commercially exploit reports, data, or API access without written authorization from Continuuiti
- Misrepresent Continuuiti’s analysis as your own proprietary methodology
- Remove or alter any proprietary notices, labels, or marks on the Services or outputs
- Use the Services in any manner that could damage, disable, or impair the platform
- Harass, abuse, or harm Continuuiti personnel or other users
- Transmit any viruses, malware, or other malicious code
- Use the Services to infringe on the intellectual property rights of others
6.3 Enforcement
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and access to the Services, without refund. We reserve the right to report illegal activities to appropriate law enforcement authorities.
7. Intellectual Property
7.1 Continuuiti’s Intellectual Property
The Services, including the platform, algorithms, user interface, design, documentation, and all associated intellectual property, are owned by Continuuiti or its licensors. These Terms do not grant you any ownership rights in the Services.
The Continuuiti name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Continuuiti. You may not use these marks without our prior written permission.
7.2 Your Data
You retain ownership of any data you provide to the Services, including addresses, coordinates, and other input data (“Your Data”). By using the Services, you grant Continuuiti a limited, non-exclusive license to use Your Data solely for the purpose of providing the Services to you.
7.3 Reports and Outputs
Reports and outputs generated by the Services are licensed to you for your internal business use. Subject to payment of applicable fees, you may:
- Use reports for internal decision-making, risk assessment, and compliance purposes
- Share reports with your employees, contractors, and advisors who need access for legitimate business purposes
- Include report findings in your internal documentation and compliance records
You may NOT:
- Resell or redistribute reports to third parties as a commercial offering
- Claim the underlying methodology, algorithms, or analysis as your own proprietary work
- Remove Continuuiti attribution from reports
7.4 Third-Party Data Sources
The Services incorporate data from third-party sources, including but not limited to:
- Sentinel-2 satellite imagery (European Space Agency)
- NASA climate projections and elevation data
- Google Dynamic World land cover classification
- World Resources Institute water stress data
- World Database on Protected Areas
These data sources are subject to their own licenses and terms. Continuuiti provides processed outputs derived from these sources; your use of the Services does not grant you any direct rights to the underlying raw data.
7.5 Feedback
If you provide suggestions, feedback, or ideas regarding the Services (“Feedback”), you grant Continuuiti a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.
8. Data and Privacy
8.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.
8.2 Data We Collect
In the course of providing the Services, we collect:
- Account information (name, email, organization)
- Usage data (queries submitted, reports generated, features accessed)
- Location data submitted for analysis (addresses, coordinates)
- Payment information (processed by third-party payment providers)
8.3 How We Use Your Data
We use data collected through the Services to:
- Provide, maintain, and improve the Services
- Process transactions and send related information
- Respond to your requests and provide customer support
- Monitor and analyze usage patterns to improve user experience
- Detect, prevent, and address technical issues and security threats
- Comply with legal obligations
8.4 Data Security
We implement reasonable administrative, technical, and physical security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security.
8.5 Data Retention
We retain your data for as long as your account is active or as needed to provide the Services. We may retain certain data after account termination as required by law or for legitimate business purposes (e.g., resolving disputes, enforcing agreements).
8.6 Data Location
The Services are operated from India. By using the Services, you consent to the transfer and processing of your data in India and other jurisdictions where our service providers operate.
9. Disclaimers
9.1 Services Provided “As Is”
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Guarantee of Accuracy
Continuuiti does not warrant that the Services, reports, or data will be accurate, complete, reliable, current, or error-free. The Services rely on third-party data sources (including satellite imagery, climate models, and environmental databases) that have inherent limitations, uncertainties, and potential errors.
Specifically:
- Satellite imagery is subject to cloud cover, sensor limitations, and processing artifacts
- Climate projections are based on scientific models with inherent uncertainty and are not predictions of specific future events
- Land cover classifications are automated analyses that may contain misclassifications
- Third-party databases (protected areas, water stress, etc.) may be incomplete or outdated
You acknowledge that all data and reports should be used as one input among many in your decision-making processes and should be verified through additional sources where appropriate.
9.3 Not Professional Advice
The Services provide informational data and analysis. They do NOT constitute:
- Legal advice
- Financial or investment advice
- Professional environmental consulting
- Engineering or technical certification
- Regulatory compliance certification
You should consult qualified professionals for advice specific to your situation.
9.4 Regulatory Compliance
The Services are designed to support your compliance and due diligence processes, including for regulations such as EUDR (EU Deforestation Regulation) and TCFD (Task Force on Climate-related Financial Disclosures).
However, Continuuiti does not guarantee regulatory compliance.
- LULC+ reports provide data to support EUDR due diligence; they do not certify that a location is EUDR-compliant
- Climate Risk reports provide data for TCFD disclosure; they do not constitute a complete TCFD-aligned assessment
- Regulatory requirements may change; the Services may not reflect the most current regulatory guidance
- Final compliance determinations are your responsibility
9.5 No Liability for Business Decisions
Continuuiti is not responsible for any business decisions you make based on the Services, including decisions related to:
- Supplier selection or termination
- Investment or divestment
- Facility location or closure
- Insurance coverage
- Regulatory filings
You assume all risk associated with your use of report data and findings.
9.6 Service Availability
We do not warrant that the Services will be uninterrupted, secure, or available at any particular time or location. We may modify, suspend, or discontinue the Services (or any part thereof) at any time without notice.
10. Limitation of Liability
10.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONTINUUITI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
- ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES
- ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- ANY DAMAGES RESULTING FROM ERRORS, INACCURACIES, OR OMISSIONS IN THE SERVICES OR DATA
- ANY DAMAGES RESULTING FROM THIRD-PARTY DATA SOURCE ERRORS OR LIMITATIONS
THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CONTINUUITI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTINUUITI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNTS YOU PAID TO CONTINUUITI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
- ONE HUNDRED US DOLLARS (USD $100)
10.3 Basis of the Bargain
THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN YOU AND CONTINUUITI AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. CONTINUUITI WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.
10.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Continuuiti and its directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any rights of a third party
- Any data you submit to the Services
- Any decisions you make based on reports or data from the Services
- Any claims by third parties related to your use of reports (e.g., claims by your clients, investors, or regulators)
This indemnification obligation will survive the termination of these Terms and your use of the Services.
12. Modifications to Services
Continuuiti reserves the right to modify, update, suspend, or discontinue any part of the Services at any time, with or without notice.
- Feature changes: We may add, modify, or remove features to improve the Services
- Data source changes: We may change data sources, methodologies, or processing approaches
- Pricing changes: We may change pricing with 30 days’ notice
- Discontinuation: We may discontinue the Services entirely with 90 days’ notice (where reasonably practicable)
We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
13. Termination
13.1 Termination by You
You may terminate your account at any time by contacting support@continuuiti.com or using the account deletion feature in your settings. Upon termination:
- Your access to the Services will cease
- Any unused credits will be forfeited
- We may retain certain data as described in Section 8.5
13.2 Termination by Continuuiti
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if:
- You breach any provision of these Terms
- We are required to do so by law
- We discontinue the Services
13.3 Effect of Termination
Upon termination:
- Your right to use the Services ceases immediately
- You remain liable for all obligations incurred prior to termination
- You must cease all use of Continuuiti’s intellectual property
- Any provisions of these Terms that by their nature should survive termination shall survive (including Sections 7, 9, 10, 11, and 14)
13.4 Data After Termination
Upon termination, we may delete your account data in accordance with our data retention policies. If you wish to export your data before termination, please contact support@continuuiti.com.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
14.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at support@continuuiti.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days before either party may initiate formal proceedings.
14.3 Arbitration
If we cannot resolve the dispute informally, you and Continuuiti agree to resolve any disputes through binding arbitration administered by a mutually agreed arbitrator in Kochi, Kerala, India. The arbitration shall be conducted in English.
14.4 Exceptions to Arbitration
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
14.5 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND CONTINUUITI AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14.6 Time Limitation
Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Continuuiti regarding the Services and supersede all prior agreements, understandings, and communications.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
The failure of Continuuiti to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Continuuiti.
15.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. Continuuiti may assign these Terms without restriction.
15.5 Notices
Notices to you may be made via email to the address associated with your account or by posting on the platform. Notices to Continuuiti must be sent to support@continuuiti.com.
15.6 Force Majeure
Continuuiti shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services.
15.7 Independent Contractors
The relationship between you and Continuuiti is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
15.8 Third-Party Beneficiaries
These Terms do not confer any rights on any third party.
