AGREEMENT SERVICE ACCOUNTS USE PAYMENTS LIABILITY

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sisyphus Consulting Private Limited ("Company," "we," "us," or "our"), the operator of Feedhammer (the "Service," "Application," or "Platform").

By accessing or using Feedhammer, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

Important: These Terms include important provisions regarding your rights, limitations of liability, dispute resolution, and class action waiver. Please read them carefully.

1.1 Eligibility

You must be at least 18 years old to use Feedhammer. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding contract
  • You are not prohibited by applicable law from using the Service
  • You have not been previously suspended or removed from the Service

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by:

  • Posting the updated Terms on our website with a revised "Last Updated" date
  • Sending an email to the address associated with your account
  • Displaying a notice within the Service upon your next login

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. DESCRIPTION OF SERVICE

2.1 What Feedhammer Does

Feedhammer is a SaaS web application that unifies Basecamp iCal feeds into single, consolidated calendar feeds. The Service enables users to:

  • Combine multiple Basecamp project iCal feeds into unified calendar groups
  • Generate unique feed URLs for subscription in calendar applications
  • Filter calendar content (meetings, todos, cards) on a per-group basis
  • Share unified calendar feeds with team members and clients
  • Manage multiple feed groups (subject to plan limitations)

2.2 Read-Only Nature

Critical Limitation: Feedhammer operates as a read-only passthrough service. We:

  • Only read data from your Basecamp iCal feeds
  • Never write, modify, or delete any data in your Basecamp accounts
  • Do not maintain a permanent database of your calendar events
  • Fetch data on-demand when your calendar application requests an update

The data flow is strictly unidirectional: Basecamp → Feedhammer → Your Calendar

2.3 Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Service. The Service may experience:

  • Scheduled maintenance windows (with advance notice when possible)
  • Emergency maintenance for security or critical bug fixes
  • Service degradation or interruption due to factors beyond our control (internet connectivity, third-party services, force majeure events)

2.4 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government actions, pandemics, internet or telecommunications outages, power failures, or failures of third-party services we rely on.

2.5 Third-Party Dependencies

The Service relies on third-party services that are not under our control:

  • Basecamp: Availability and content of your Basecamp iCal feeds
  • Google OAuth: Authentication services
  • Dodo Payments: Payment processing and subscription management
  • Brevo (Sendinblue): Transactional email delivery
  • Cloud Infrastructure: Cloud hosting providers located in Europe that host our database, application servers, and related infrastructure
  • Cloudflare: Content delivery network and security layer

We are not responsible for failures or disruptions caused by these third-party services.

3. USER ACCOUNTS

3.1 Account Creation

To use Feedhammer, you must:

  • Create an account using Google OAuth authentication
  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access or security breaches

3.2 Account Responsibility

You are solely responsible for:

  • All activity that occurs under your account
  • Maintaining the confidentiality of your account credentials
  • Ensuring your Basecamp iCal URLs remain valid and accessible
  • Any consequences resulting from sharing your feed URLs

3.3 Feed URL Security

Each feed group generates a unique token-based URL. These URLs function as secret access tokens:

  • Anyone with the URL can view the unified calendar content
  • Treat feed URLs as you would passwords
  • If a URL is accidentally shared, regenerate it immediately from your dashboard
  • We are not responsible for unauthorized access through shared URLs

3.4 Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms or any applicable law
  • Use the Service for illegal or unauthorized purposes
  • Engage in conduct that harms other users or our systems
  • Fail to pay subscription fees when due (after applicable grace periods)

Upon termination:

  • Your access to the Service will immediately cease
  • Your feed URLs will stop serving data
  • Your data will be handled as described in our Privacy Policy
  • Provisions of these Terms that by their nature should survive termination will remain in effect

4. ACCEPTABLE USE POLICY

4.1 Permitted Uses

You may use Feedhammer to:

  • Consolidate your own Basecamp project calendars
  • Share unified calendars with your team members and clients
  • Manage multiple projects through feed groups
  • Access the Service through standard web browsers and calendar applications

4.2 Prohibited Uses

You may NOT use Feedhammer to:

  • Reverse engineer, decompile, or attempt to discover the source code of the Service
  • Circumvent rate limiting, authentication, or security measures
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Interfere with or disrupt the Service or servers
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to access other users' accounts or data
  • Use the Service for any illegal purpose or in violation of applicable laws
  • Harvest or collect personal information about other users
  • Impersonate any person or entity or misrepresent your affiliation

4.3 Rate Limiting and Fair Use

To ensure service quality for all users, we implement automated rate limiting on the Service. We reserve the right to throttle, suspend, or block any access that exceeds reasonable usage patterns or otherwise impacts service performance. Specific limits may change without notice to protect the Service.

4.4 Basecamp Terms Compliance

Your use of Basecamp iCal feeds through Feedhammer must comply with:

  • Basecamp's Terms of Service
  • Any applicable workspace or project agreements
  • Your contractual obligations to clients or employers

You are responsible for ensuring you have proper authorization to access and share any Basecamp data through Feedhammer.

5. PAYMENTS AND SUBSCRIPTIONS

5.1 Subscription Plans

Feedhammer offers subscription-based access to the Service:

Pro $29/month Unlimited groups, team features, bulk operations, white-label branding

5.2 Payment Processing

All payments are processed by Dodo Payments, our third-party payment processor. By subscribing, you agree to:

  • Provide valid payment information
  • Authorize recurring charges until cancellation
  • Accept that we do not store your full payment card details
  • Pay all applicable fees, including any taxes

5.3 Billing Cycle

  • Subscriptions automatically renew on a monthly basis
  • Billing occurs on the same date each month (anniversary billing)
  • Failed payments trigger a 7-day grace period before service suspension
  • Prorated charges apply for mid-cycle upgrades
  • If you initiate a chargeback or payment dispute, we may suspend your account immediately and charge a reasonable administrative fee to cover our costs

5.4 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You retain access until the period ends
  • No refunds are provided for partial months or unused portions of a billing period

5.5 Plan Changes

  • Upgrades: Take effect immediately with prorated charge for remaining period
  • Downgrades: Take effect immediately with prorated credit applied to your account
  • Team features and organization access are tied to Pro subscription status
  • Downgrading from Pro to Starter may require removing excess groups or team members first

5.6 Price Changes

We may modify subscription prices with 30 days' advance notice. Price changes will:

  • Take effect on your next billing cycle after the notice period
  • Be communicated via email
  • Apply to all subscribers unless grandfathered by prior agreement

6. INTELLECTUAL PROPERTY

6.1 Our IP

Feedhammer and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of Sisyphus Consulting Private Limited and its licensors. The Service is protected by:

  • Copyright laws
  • Trademark laws
  • Patent laws (where applicable)
  • Other intellectual property rights

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as necessary for your personal, non-commercial use of the Service.

6.2 Your Content

You retain ownership of:

  • Group names you create
  • Calendar display names (Pro feature)
  • Any other user-generated content within the Service

You grant us a limited, non-exclusive license to use this content solely to provide and improve the Service.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use this feedback without restriction and without compensation to you.

7. DISCLAIMER AND LIMITATION OF LIABILITY

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service is free of viruses or other harmful components

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SISYPHUS CONSULTING PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

7.3 Liability Cap

Our total liability to you for all claims arising from or relating to these Terms or your use of the Service shall not exceed the amount you paid to us for your subscription in the month preceding the event giving rise to the claim. In no event shall we be liable for amounts exceeding one month's subscription fee paid by you.

7.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. The above limitations may not apply to you to the extent prohibited by applicable law.

7.5 Calendar Data and Third-Party Services

You acknowledge that calendar data is subject to errors, delays, and omissions due to third-party service limitations, time zone conversions, recurring event parsing, and synchronization issues. You are solely responsible for verifying the accuracy of critical meetings and appointments through primary sources. We are not liable for missed meetings, scheduling conflicts, or business losses resulting from inaccurate, delayed, or missing calendar data, nor for disruptions caused by Basecamp, Google, Dodo Payments, Brevo, or any other third-party service.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Sisyphus Consulting Private Limited and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your content caused damage to a third party

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.

9.2 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We'll make good faith efforts to resolve the matter within 30 days.

9.3 Arbitration Agreement

Any dispute arising from or relating to these Terms or the Service shall, where permissible, first be attempted to be resolved through informal negotiation. Where arbitration is elected, it shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 of India, by a sole arbitrator mutually appointed by the parties. The arbitration shall:

  • Take place in Ahmedabad, Gujarat, India
  • Be conducted in English
  • Be conducted on an individual basis (no class arbitrations)

9.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

9.5 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdiction of small claims court.

10. GENERAL PROVISIONS

10.1 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

10.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative.

10.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

10.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, representations, and understandings.
